NOVA PROPOSTA DE CHAPA PARA NOSSO CONSELHO DE ADMINISTRAÇÃO
São Caetano do Sul, 20 de abril de 2020. A Via Varejo S.A. ("Companhia"), em atendimento ao disposto
no parágrafo 4º, do art. 157 da Lei nº 6.404, de 15 de dezembro de 1976, e na Instrução CVM nº 358,
de 03 de janeiro de 2002, e em linha com o seu compromisso de garantir total transparência a seus
investidores, vem comunicar aos seus acionistas e ao mercado em geral que:
1. Na presente data nosso Conselho de Administração aprovou em reunião a proposta de uma nova
chapa para a composição do órgão durante o próximo mandato (2020 a 2021), que será
submetida à Assembleia Geral da Companhia no início de junho.
2. Dentre as mudanças propostas está a substituição do atual Presidente do Conselho, Sr. Michel
Klein, que comunicou aos presentes sua decisão de deixar o cargo tão longo concluído seu atual
mandato.
3. Como substituto para o cargo, os Conselheiros indicaram o Sr. Raphael Klein, filho do Sr. Michel
Klein e neto do fundador da Companhia, e que trabalhará em conjunto com sua Diretoria na
continuidade do turn-around e digitalização que vem sendo implementados.
4. Raphael Klein tem experiência e um longo histórico com a Companhia. Em 2006, assumiu o cargo
de diretor de Marketing da Casas Bahia, transformando-a na 7ª marca mais valiosa do Brasil e a
maior anunciante da América Latina. Também implementou a plataforma de e-commerce e
diversos outros projetos de marca. Ao lado de seu pai, Michael Klein, Raphael conduziu a
associação da Casas Bahia com o Ponto Frio, criando a Via Varejo, companhia onde foi CEO até
novembro de 2012
5. Raphael Klein, é formado em Administração de Empresas pela Ford University, com
especialização na Florida University, e hoje administra o fundo de venture capital Kviv Ventures.
Sua experiência, em especial na área de tecnologia, agregará valor ao já altamente capacitado
time da Companhia no desenvolvimento de soluções inovadoras em um mercado cada vez mais
desafiador.
6. A Companhia aproveita o ensejo para agradecer ao Sr. Michel Klein por suas valiosas

NEW PROPOSAL FOR THE COMPOSITION OF OUR BOARD OF DIRECTORS
São Caetano do Sul, April 20, 2020. Via Varejo S.A. ("Company"), in compliance with what is provided
in Paragraph 4, Article 157 of Law 6,404/76 and in CVM Ruling 358/02 and in line with its commitment
with complete transparency to its investors, communicates to its shareholders and the market as
follows:
1. On the date hereof our Board of Directors approved a new proposal for the composition of such
corporate body for the next mandate [2020 to 2021], which shall be submitted to the
Shareholders’ Meeting at the beginning of June.
2. Among the proposed changes is the replacement of the current Chairman of the Board, Mr.
Michel Klein, which communicated his intention to leave office as soon as his current mandate
has been completed.
3. As a replacement for such position, the Board Members nominated Mr. Raphael Klein, son of Mr.
Michel Klein and grandson of the Company’s founder and which will work together with the
current Officers in continuing the turn-around and digitalization efforts which are being
implemented.
4. Raphael Klein is experienced and has a long history with the Company. In 2006 he assumed the
position of marketing director for Casas Bahia, aiding in transforming such brand in the 7th
most
valuable in Brazil and greatest advertiser in Latin America. He also implemented the e-commerce
platform and headed other various projects for the brand. Next to his father, Michel Klein,
Raphael worked towards the business combination between Casas Bahia and Ponto Frio, creating
Via Varejo, where he held the position of CEO until November 2012.
5. Raphael Klein has a degree in business management from Ford University, with a [master’s
degree] from Florida University and currently manages the venture capital fund Kviv Ventures His
experience, especially in the field of technology, will generate value to the highly capacitated
team of the Company in the development of innovative solutions in an increasingly challenging
market.
