informa que, conforme divulgado no Fato Relevante de 05 de fevereiro de 2016, sua controlada
Companhia de Participações em Concessões (“CPC”), celebrou Contrato de Compromisso de
Venda e Compra sob condições resolutivas e outros Pactos (“Contrato”), na condição de
compromissária compradora, com a Space Empreendimentos Imobiliários Ltda. (“SPACE”), na
condição de compromitente vendedora, tendo como intervenientes anuentes e garantidoras a CCR
e a Companhia Melhoramentos de São Paulo e como interveniente anuente a Melhoramentos
Florestal Ltda., para aquisição de imóvel situado nos Municípios de Cajamar e Caieiras, Estado de
São Paulo (“Terreno”), pelo valor total de R$387.415.275,93 (trezentos e oitenta e sete milhões,
quatrocentos e quinze mil, duzentos e setenta e cinco reais e noventa e três centavos) – data-base
jan/2016, com o objetivo de implantar um novo aeroporto na região metropolitana de São Paulo
(“Projeto NASP”).
O Contrato previu que, no prazo de 7 (sete) anos, a CPC deveria confirmar a implantação do novo
aeroporto, sob pena de devolução parcial do Terreno, prazo que se encerrou em fevereiro de 2023.
Em face da não aprovação de regulamentação que permitisse a efetiva implantação do aeroporto
comercial privado no período, bem como diante do contexto de mercado e contratual, decidiu-se
pela descontinuidade do Projeto NASP. Desta forma, a Sociedade de Participações em
Concessões Privadas Ltda. (“SPCP”), subsidiária integral da CCR e atual detentora do Terreno,
após tratativas com a SPACE e o grupo Melhoramentos e em cumprimento à obrigação contratual,
notificou, na presente data, a SPACE para devolução de 29,76% (vinte e nove, virgula setenta e
seis por cento) da área total do terreno, conforme previsão contratual original.
A Companhia reforça aos seus acionistas e o mercado em geral que a descontinuidade do Projeto
do NASP faz parte de sua estratégia contínua de crescimento qualificado e alocação racional de
capital e segue atenta às oportunidades de valorização da parte remanescente do Terreno.

announces that, as per the Material Fact released on February 05, 2016, its subsidiary Companhia
de Participações em Concessões (“CPC”) entered into a Sale and Purchase Agreement under
conditions subsequent and other Pacts (“Agreement”), as the committed buyer, with Space
Empreendimentos Imobiliários Ltda. (“SPACE”), as the seller, with CCR and Companhia
Melhoramentos de São Paulo as the consenting intervening and guarantor parties, as well as with
Melhoramentos Florestal Ltda. as the consenting intervening party, to acquire a property located in
the municipalities of Cajamar and Caieiras, in the state of São Paulo, for the total amount of
R$387,415,275.93 (three hundred eighty-seven million, four hundred fifteen thousand, two hundred
seventy-five reals and ninety-three centavos) – base date January 2016, with the purpose of setting
up a new airport in the São Paulo metropolitan region (“NASP Project”).
The Agreement set forth that, within a 7-year period, CPC should confirm the setting up of a new
airport, under penalty of partial return of the Land, but the deadline ended in February 2023.
Because the regulations to enable the actual setting up of a private commercial airport in the period
were not approved, and in light of the market scenario and the contractual terms, it was decided
that the NASP Project would be discontinued. As a result, after conducting negotiations with SPACE
and Melhoramentos Group, and in compliance with contractual obligations, Sociedade de
Participações em Concessões Privadas Ltda. (“SPCP”), a wholly-owned subsidiary of CCR and the
current owner of the Land, has informed SPACE on this date of the return of 29.76% (twenty-nine
point seventy-six percent) of the total land area, as per originally set forth in the agreement.
The Company informs its shareholders and the market in general that the discontinuity of the NASP
Project is part of its continuous and qualified growth strategy and rational capital allocation and that
it remains on the lookout for opportunities to appreciate the remainder portion of the Land.
