1 Adjusted EBITDA is a non-GAAP financial performance measurement. Adjusted EBITDA is calculated by adding back to net income (loss) interest expense, income taxes, depreciation and
amortization expense as further adjusted to add back stock-based compensation expense and non-recurring items, such as gain on the change in fair value of derivative liability in 2011
