Call to Convention
The President of the Illinois Federation of Business Women’s Clubs officially
issues the call to the 92nd Annual State Convention beginning at 8:30 a.m.
Friday April 26, 2013, at the Thelma Keller Convention Center located in
Effingham, Illinois.
Pursuant to Article XVI of the Federation Bylaws, any member in good
standing who has paid the full registration fee may attend the annual state
convention and vote (Section 2).
The purpose of the State Convention is to: receive reports of the officers
and committee chairs for the preceding year; act upon recommendations,
resolutions, and other business presented to the convention; elect officers
for the ensuing term; adopt a budget; consider and adopt a state
legislative platform; elect a Chair of Nominations; and consider and vote
upon State Bylaws changes.
Members are also invited to attend the Speak-Off Competition Friday
morning followed by a several interesting and informative workshops.
Individual members, LO’s and Regions will be recognized for their
achievements at Friday evening’s awards/recognition ceremony, which will
be followed by dessert and the President’s Roast at the Tuscan Hills
Winery. Saturday will be filled with the Business Sessions for the full
convention body and an afternoon excursion known as “IFBW Ladies Day
Out” for experiencing downtown Effingham and attending the local Artisan
Fair.

Team Building

The make-up of a successful team is multifaceted and varied but these complexities can be
demystified if you understand team dynamics and the true value of teamwork. This seminar will
cover the basics of team building and show that “Teams” are the force multiplier for achieving
“Dreams”.

First Timers Workshop:
Friday April 26th 3:30 p.m.-4:00pm
If this is your first State Convention, this is the workshop for you. You will be given a brief overview
of the weekend’s activities and an introduction to the procedures utilized during the convention
business sessions, including how to make motions and utilize the microphone on the convention
floor. Come gain the necessary tools which will allow you to participate fully make the most of your
first convention experience.
Effective Communication-Train-The-Trainer:
Friday April 26th 3:30 p.m.-4:00pm
This is the second module of our newly developed Leadership University. This workshop gives tips
and practice to the IFBW members on how to communicate effectively. During this workshop, the
trainers will be trained and given everything they need to effectively host this workshop.
Dessert and President’s Roast: Tuscan Hills Winery

Please plan to attend the IFBW Dessert and President’s Roast at the Tuscan Hills Winery. Transportation will

10. BOARD RULES
Motions: Must be in writing, signed by the maker and the second, and furnished to the Chair
before action is taken. Motion forms are available for this purpose. Only Members of the voting
body may introduce motions.
Debate: To ask recognition from the Chair, the speaker should proceed to the microphone
and give name and title. The speaker shall state whether speaking in the affirmative or the
negative. Debate on a motion shall be limited to two minutes per speaker, and ten minutes for
each question. General consent is needed for additional time and if there is an objection to
general consent, a formal vote must be taken, with 2/3rds vote required to grant additional
time.
No member shall speak a second time until everyone wishing to speak has had an opportunity.
An observed may participate in debate, provided there is no board member wishing to speak,
asking recognition by the same procedure as required by a member of the voting body.
Timekeeper: The Chair will appoint a timekeeper. It is the timekeeper’s duty to indicate to
each speaker a 30 second warning before time expires.
Reports: Each standing committee chair and special committee chair presenting a report has
the time indicated after their title on the Board Agenda. There are also written reports included
in your board packet.
Parliamentary Authority: Robert’s Rules of Order, Newly Revised, 10th Edition, is the
parliamentary authority for this meeting.
Seating: All voting board members should sit towards the head table. District Directors and
Chairs have assigned seating.
Observers should sit behind the voting members. Any Regional Director/Associate Regional
Director/Chair who is absent may provide a delegate to replace them per Section 6 of the
Federation bylaws.
11. PROPOSED AMENDMENTS TO STATE BYLAWS
ARTICLE VIII - REGION ORGANIZATION - SECTION 4
Current Wording: Each Region shall have a Regional Director and First and Second Associate
Directors who shall be elected at a meeting of the Region held prior to the opening day of the
annual State Convention. If a Region fails to elect a Regional Director and two Associates prior to
the opening of the annual state convention, on the first day of such convention, the members
attending from that Region shall meet and elect a Regional Director and First and Second Associate
Directors.
Proposed Wording: Each Region shall have a Regional Director and an Associate Director who
shall be elected at a meeting of the Region held prior to the opening day of the annual State
Convention. If a Region fails to elect a Regional Director and an Associate Director prior to the
opening of the annual state convention, on the first day of such convention, the members attending
from that Region shall meet and elect a Regional Director and Associate Director.

Current Wording: A vacancy occurring between two annual State Conventions in the office of
Region Director or Associates or in any other Region office shall be filled by the Region with
notification to the State Executive Committee.

Current Wording: It shall be the duty of the First and Second Associate Region Directors:
a) To assist the Region Director in ensuring the state programs are followed;
b) Serve as voting members of the State Board of Directors;
c) Assist the Region Director in planning meetings for the Region;
d) Take the lead in organizing new locals within the Region and revitalizing those below five (5)
active members in the Region.
Proposed Wording: It shall be the duty of the Associate Region Director:
a) To assist the Region Director in ensuring the state programs are followed;
b) Delete

Current Wording: These bylaws may be amended at any annual State Convention or at any
adjourned session thereof, or at any special meeting called for that purpose, provided there has
been compliance with either Section 3 or 4 below.
Proposed Wording: These bylaws may be amended at any annual State Convention or at any
adjourned session thereof; or at any special meeting called for that purpose; or by mail, facsimile
(fax) or email at the request of the President provided there has been compliance with either
Section 3 or 4 below. The secretary’s records shall contain an accurate record of all such votes.
Justification for all above amendments: Due to decrease in membership throughout the State
and fewer members willing to serve in officer positions, these amendments are necessary. Voting by
all members is authorized because it is felt all members should have a say in some items (e.g. name
change, charter issues).
These amendments, if approved at convention 2013 will become effective IMMEDIATELY
and Region Bylaws will be amended accordingly.
