2. INTRODUCTION
• Limited Liability Partnership has been introduced in
India by the Limited liability Partnership Act,2008.
• A separate legal entity.
• An LLP also limits the personal liability of a partner
for the errors, omissions, incompetence, or negligence
of the LLP's employees or other agents .
• It combines the advantage of both the partnership and
the company.
• LLP is one of the easiest form of business to
incorporate and manage

3. Pre-requisitesfor registeringa LLP
•Minimum 2 Partners (Individual or body
corporate)

individuals and at least one of them
should be resident in India.

•Bank Account Pass book containing the photograph and signed
by an individual with attestation by the concerned bank official
•Photo ID card issued by the Ministry of home affirs of
Centre/state Governments
•Any government issued photo ID card bearing the signature of
the individual.

6. DIRECTOR IDENTIFICATION NUMBER
Designated Partner Identification Number is a unique
identification number assigned to all existing and
proposed Designated Partner of a LLP.. Designated
Partner Identification Number never expires and a
person can have only one Designated Partner
Identification Number.

7. NAME APPLICATION
The proposed name of the Limited Liability Partnership
has to be unique. Names that are similar to an existing
private limited company / limited liability partnership /
trademark can be rejected.

8. PRE INCORPORATION PROCESS

•Proof of address of Registered office
•Details of partners.
•Subscription Sheet: All partners are
required to subscribe their names along
with signatures to the subscription sheet,
which shall be witnessed by any chartered
Accountant/Company Secretary/Advocate
in practice.

9. Filing of Agreement
A professionally well drafted limited liability partnership
agreement can help the LLP to function properly and can
contain mechanisms to resolve the disputes between
members if anything arises during the course of the
business. An LLP agreement should include provisions
relating to profit shares, voting rights, decision making,
and capital provisions, the duties of the members, and
termination and the rights between the members in such
an event etc.
Form 3
An llp agreement is required to printed on the stamp
paper(the value of which differ from state to sate) and the
same is required to be notarised.
