WORK FOR HIRE CONTRACT
THE PARTIES:
1. VT Systems Participações Ltda, Avenida das Nações Unidas, 14.171 –

floor - São Paulo - SP, duly registered by CNPJ/MF number
13.254.337/0001-77, shall be referred to as simply CLIENT;
2. BLUMAR BRAZIL NUTS RIO TURISMO LTDA, headquartered at Av.
Borges de Medeiros, 633 sl 405 to 408, Leblon, Rio de Janeiro / RJ,
registered by CNPJ under number 40.339.657/0001-00, with State
registration number ISENTA, in this act represented in the form
established by its Contrato Social (Social Contract), shall be referred to
as simply SERVICE PROVIDER;
AGREE
Of full and common accord, to formalize the present instrument WORK FOR
HIRE CONTRACT, through the following clauses and conditions:
I – DESCRIPTION OF SERVICES
The CLIENT will utilize the intermediary hotel services defined by the SERVICE PROVIDER for
the event entitled Laad Defense & Security 2013, which will take place in the city of Rio de
Janeiro from the 9th to the 12th of April 2013. Terms and conditions are contained in the present
agreement and reiterated in the addenda which, once defined by the parties will become an
integral part of the present instrument for all ends and effects.
THE SERVICE PROVIDER will intermediate the contracting of hotel services to the CLIENT, in
accordance with the table in Addendum 1.
Any alterations to the times established will be subject to the availability of the HOTEL and are
subject to payment on behalf of the CLIENT.
The general Rooming List of the event should be passed along to the SERVICE PROVIDER a
maximum of 30 (thirty) days before the group’s arrival at the hotel.
II- PAYMENT FOR SERVICES
For the fulfillment of contracted services, the SERVICE PROVIDER will
receive total consideration of R$8,484.00.

FIRST PARAGRAPH: The adjusted price in this Contract contains a provision of
services by the SERVICE PROVIDER and includes all costs, duties, direct and
indirect charges, particularly those of a fiscal or provisional nature or with regards
to labor, excluding only unforeseen cost(s) and/or supply of service(s) in the
attached Proposal that have been attributed in an express form to the CLIENT/
SERVICE PROVIDER.
SECOND PARAGRAPH: In the event of the unjustifiable delay of the any
payments stipulated above, fees will be added to the due amount until the date of
payment, following the variation of the IGP-M; this is in addition to the interest of
1% per month and a penalty of 2%.
THIRD PARAGRAPH: The outlined rates are not valid for payments made with
credit cards. Rates will be reviewed for this form of payment.
FOURTH PARAGRAPH: A SERVICE PROVIDER will produce a RECEIPT for
10% of the cost paid and RAPT for the rest of the amount, totaling the total
amount paid by guests. The receipt is digital and will be available 48 hours after
each payment has been processed. To receive the receipt immediately after it is
available, please register your business and e-mail at HYPERLINK "https://

notacarioca.rio.gov.br/. Hotel receipts will not be sent.
III- TERM
The SERVICE PROVIDER is obliged to execute the services outlined in this
contract between the dates of 04/04 to 14/04.
IV- OBLIGATIONS OF THE SERVICE PROVIDER
INSTALATIONS AND ACCOMODATIONS
Grantee that the reserved rooms will available for the CLIENT’S guests.
Satisfy, during the agreed dates and for the agreed expenses, all the duties and/
or obligations regarding work and/or precautions and insurance and with
respects to the employees and representatives designated for the
execution of this contract.
SOLE PARAGRAPH: Failure to fulfill the obligations stipulated in this clause will
give the CLIENT the right to immediately request a refund of the value paid to the
SERVICE PROVIDER, granting the ability to immediately revoke the Contract
without penalty or other consequences that have been defined, including the
penalty mentioned in clause VI of the present contract
VI- OBLIGATIONS OF THE CLIENT
Conditions for cancelling rooms / deposits:
* Cancelation should be requested by e-mailing laad2013@blumar.com.br
* Cancelations made 60 days before arrival: Blumar will charge 5% of the total paid.
* Cancelations made between 59 and 30 days before arrival: Blumar will charge 5% of the total paid and
an additional penalty to the value of one night at the chosen hotel.
* Cancellations done with fewer than 30 days before arrival: no refund
* Contract will only be valid after signing and e-mail emission by 06/11/2012
Observations:
The failure to fulfill the items above will be understood as an automatic
cancellation without previous notice;
Payment will not be refunded in the event of the cancelation conditions
presented above;
If there are more participants after signing the contract, the SERVICE
PROVIDER does not guarantee availability in the same hotel, and
additional reservations will be subject to availability, new rates, and
contractual delay.
Conditions of apartment payment / deposits:
13/11/2012 – due date for the full payment of reservations
Observations:
- For national passengers, payments may be accepted through Visa,
Master, or Amex credit cards with up to 6 installments or a billing
slip in full.
- For international passengers, payments may be accepted through
Visa, Master, or Amex credit cards in full or by international deposit.
- In the case of international transfers, there will be an additional
bank fee of US$40.00 for each deposit made.
VII- GENERAL AGREEMENTS
The parties, along with their pertinent suppliers of goods and services, declare
and mutually guarantee:
(a) to carry out their activities in accordance with valid and applicable legislation,
and to uphold agreements necessary for the execution of this Contract, and to
the obligations defined by it;
(b) to not use illegal labor, and to commit to not use any for of work analogous to
slave or child labor be it directly or indirectly through respective suppliers of
products and services, except in the cases observed by the Cosolidação das
Leis do Trabalho;
(c) to not employ minors under 18 years of age, including apprentices in locations
detrimental to their formation, to their physical, psychological, moral and social
development, particularly with regards to dangerous or unhealthy locations and
services, or during hours that interfere with school attendance, even during night
hours, which are here understood as between 22h and 5h;
(d) to not utilize negative discriminatory practices that limit access to or
maintenance of employ, such as but not limited to motivations based on: sex,
origin, race, color, physical condition, religion, civil status, age, familial situation,
or pregnancy;
(e) to commit to protecting the environment, in particularly in preventing and
eradicating damaging practices to the environment, carrying out their services in
observance of valid legislation that relates to the Política Nacional do Meio
Ambiente e dos Crimes Ambientais and to legal, normative, and administrative
acts regarding the environment and issues by Federal, State, and City
jurisdictions.
The Código Civil (Civil Code) will be rightly applied to omitted questions being
certain that no item of this contact can be altered without a new document
established by the Parties.
As a forum the central capital of Rio de Janeiro has been chosen, despite the
advantages of other locations.
And thusly just and contracted, the present instrument is established in 02 copies of equal
proportion and form in the presence of two witnesses who additionally sign and rubricate each of
its pages.
