Your peers on the Annual Conference Committee have put together a program for you to:
• EXTEND your knowledge of current topics and leading IR practices
• EXCHANGE and share experiences with peers and industry experts
• EXCITE your career through collaborative learning, leading edge content, and unparalleled networking opportunities
Conference features the Experience Showcase where IR teams can “outfit” themselves for the extreme elements in today’s business environment. Come meet best-in-class service providers who partner and extend the capabilities of your IR program.

Understanding Valuation in an IR Context 1:00 pm - 3:00 pm
Raphael 2-3
Do you really know how your stock is valued? This workshop, taught by instructors
who teach NIRI's highly rated finance seminar series, will help you appreciate the
key drivers of value and see how excellent communications can help support your
company's valuation. We cover commonly used discounted cash flow models as
well as valuation using a range of multiples - all in a way that is easy to
understand, even if you are not a finance specialist.
Taking real company examples, we will look at the mechanics of a valuation model.
You will appreciate where the inputs come from and why analysts ask the
questions they do. And we look at how changes to the key variables, including
guidance, impact the outcome and how it all ties into the company story.
Finally, we will show you how to create a model that allows you to see
assumptions built into the current stock value.
LEARNING OBJECTIVES:
• Appreciate the key valuation variables and their impact
• Understand where analysts are coming from and be able to meet their needs
• Be able to test the assumptions built into your stock's current valuation

Shareholder Activism Workshop: Hands-on Preparation for Real-Life Scenarios 1:00 pm - 3:00 pm
Da Vinci 2-4
Participants will take an active role in a simulated activist campaign that is based
on an actual proxy contest, during a fight.
Breaking the group into small teams, experienced practitioners will guide the
groups through five distinct, but sequential phases, which will include the initial
activist contact, investor relations reaction, CEO and Board engagement, public
disclosure and proxy fight.
Presented with the facts of the business case, the teams will be challenged to
build their own strategy. The workshop culminates in a debate over the likely
outcome and alternative scenarios.
Participants will leave this highly interactive workshop with an ability to leverage
internal and external experts for an activist campaign, understanding the best ways
to protect management's credibility and corporate reputation, and the tools to
build a preemptive, offensive activist strategy.
The five workshop scenarios will include the initial approach, IR engagement,
management/board engagement, public disclosure, and a proxy fight.
LEARNING OBJECTIVES:
• Learn the fundamentals of addressing an activist at every stage in the game
• Learn the do's and don'ts of activist shareholder engagement and proxy fights
• Develop strategic communications plans
• Learn who to hire and when in the process
Why Now? Shareholder activism is increasing, and
new players are constantly emerging. Any company
can be a target, and activist goals and tactics vary
widely. Each situation requires specific analysis, and,
in all cases, good performance is the first defense
and good investor relations the second.

Make or Break Your Career with a Blowout Analyst Day! 1:00 pm - 3:00 pm
Bellagio 1,5
Although everyone knows an analyst/investor day is an excellent opportunity to
showcase a company's strategy and management team, a lot of us, no matter how
senior, secretly dread the preparation for an upcoming analyst/investor day - lots
of work, late nights (and not the Vegas kind) - details, details, details! What if
something goes wrong?
What if instead of fearing failure, we feared success? What can you do to really
impress your management team, add value and take your job to the next level?
How can you impact delivery of the messages? Do you know how to prepare your
management team to answer questions? Have you ever taught body language?
How you plan the event is an opportunity for you to showcase your capabilities,
build stronger relationships and truly add value to the team. Come with your
questions/stories, and you will leave the session excited to plan your next day and
showcase YOUR abilities!
LEARNING OBJECTIVES:
• To ensure IR practitioners understand how best to plan and execute an
effective and impactful analyst day/investor conference - within your budget
• How to add value in creating and delivering impactful presentations, including
Q&A
• To understand the non-verbal "body language" investors may be analyzing
Why Now? Whether you need a refresher on tactical
skills or not, an IR professional should think of the
analyst day as his or her chance to shine.

How Do You Benchmark Globally? Part I: Evaluating the Metrics 3:15 pm - 4:00 pm
Bellagio 3,4,7
Does this sound familiar? You want to upgrade your IR program and learn from the
best. But how do you find out who they are? And what do they do that makes them
the best? How is that measured? And who is the judge? And if you find companies
that you think qualify, how can you learn from them? What are the metrics that are
important and would they work for your company, too? Are they the same
globally?
In Part I, we will start looking at these questions, and specifically address the issue
of how to measure the success of an IR program and whether the same
measurements can be applied globally. We will talk to you about what we found by
looking at research and will have a lively discussion with IROs from different
countries.
LEARNING OBJECTIVES:
• Learn what metrics are important for measuring the success of an IR program
and how they compare globally
Why Now? The best IROs are not just in the US or
Europe anymore. They can be found all over the
globe, in places such as Asia Pacific and Latin
America.

Continuing from Part I, this session will delve into the specifics of IR programs in
different countries and what makes them successful. Find out where to start when
you want to approach a global benchmarking effort, where you can find help, and
what investors think about this issue.
LEARNING OBJECTIVES:
• Learn how to successfully benchmark your IR efforts against your global peers,
taking into account your company and country specific culture
• Learn whether investors apply different filters when they evaluate the IRO
efforts of companies from different areas of the world
Why Now? IR professionals are searching for a way
to benchmark themselves against global peers.

Non-GAAP Financial Measures: Useful Tool or Smokescreen? 1:20 pm - 2:20 pm
Raphael 2-3
Groupon, Twitter, Tesla, and others have recently been in the news regarding their
use of non-GAAP financial metrics. In many industries, such as REITs, non-GAAP
is the norm rather than the exception. Yet a substantial number of companies,
sometimes even within the same industry or sub-sector, largely or exclusively
report under GAAP. This session will explore when and why companies use non-
GAAP measures as well as provide information when considering such metrics.
LEARNING OBJECTIVES:
• Learn why some companies report in non-GAAP while others do not and if it
varies by industry
• Learn what investors prefer and the SEC guidelines
• Learn what the best practices are for your company or clients
Why Now? More companies than not report non-
GAAP metrics. IROs should know all sides of the
issue before opining on the topic with management
considering adopting or abandoning non-GAAP.

Inside the Shark Tank: Understanding the Activist Agenda 1:20 pm - 2:20 pm
Da Vinci 2-4
The threat of activist investors encircling your company can be intimidating -
unless you understand how to engage, respond and communicate when they come
calling. This unique panel brings together four prominent activist shareholders,
including one unconventional investor who drives home his point by serenading his
targets with song. This informative and lively panel will go in depth on the common
issues that make a company ripe for activism, the triggers that typically spark a
proxy fight, and ways to engage once an activist discovers your company. With
companies of all market caps now facing pressure from dissident investors, the
IRO's most important strategic role is arguably the ability to steer the C-suite
around the potential pitfalls.
LEARNING OBJECTIVES:
• Evaluate your company from the activist's perspective
• Prepare for the questions activists are most likely to ask your senior
management
• Become an indispensable source of information about shareholder activism for
management and the board
• Develop strategies for most effectively communicating with activists - and the
rest of your shareholder base - in the event your company becomes a target
Why Now? With activism activities increasing, IR
needs to learn how to deal with them to achieve the
best possible outcome for their companies.

Social Media: Monitoring the Chatter from an IR Perspective 1:20 pm - 2:20 pm
Bellagio 1,5
What's being said about your company, stock and industry by key influencers
using social media? Do you even know who they are? Join us for a session
devoted to the cutting-edge area of social media -- monitoring the social media
output of key influencers -- not only determining who they are for your company
and industry, but also learning how to monitor and leverage their output to
enhance your overall IR program. Don't be the last person to find out that Carl
Icahn just tweeted about your company!
LEARNING OBJECTIVES:
• Learn about the "other side of social media" --monitoring what is being said
about your company, stock or industry by key influencers -- and why you
should monitor them
• Determine the key influencers
• Learn ways to effectively monitor the key influencers' social
media output and how many people are following their output
Why Now? The use of social media is becoming
more widespread. And while research shows that
few within the investor community value social media
output by public companies, many do monitor blogs,
tweets and other forms of social media produced by
key influencers.

C-Level IR - 'Going All In' 1:20 pm - 2:20 pm
Bellagio 2
Everyone wants it - not everyone gets it. Is it a function of the IRO, the
management team, or both? We are, of course, talking about having a strong voice
at the table. We wear dual hats as IROs. While keeping the company's interests in
clear sight, we support our management teams and simultaneously advocate for
our investor constituents. This is easier 'said' than 'done.' How can you leverage
your knowledge and skills to become one of the most influential members of your
company's management team and establish yourself as the go-to resource for
executives and the Board on investor relations matters?
Our panel, which includes an IRO, Board member, and CFO, will discuss effective
and respectful ways to gain greater recognition and more abundant resources to
execute your role effectively in the face of increasing complexity. Hear
knowledgeable perspectives and a lively interactive discussion on how you can
add measurable value to your company, management, and board as well as
optimize your ability to make impact.
Why Now? The value an IRO can provide to an
organization can greatly improve corporate
reputation and street perception as well as individual
career satisfaction and advancement. Facing
resistance in this area is a common theme and
hearing perspectives across constituents can help
frame effective solutions to enhance IR's impact.

Guidance - Does it Still Matter? 2:55 pm - 3:55 pm
Raphael 2-3
Transparency in financial reporting is of paramount importance, but it hasn't
necessarily translated into the guidance practices of U.S. public companies.
Recently, U.S. public companies have increasingly discontinued or substantially
pared back their quarterly and annual earnings guidance practices. While some
companies have moved away from the quarterly guidance to annual guidance,
others have completely discontinued the practice. Among those firms offering
guidance, there has been a shift toward general guidelines rather than specific
targets. Nonetheless, nearly half of U.S. public companies still provide some form
of guidance. As IROs attempt to satisfy the insatiable appetite of investors for
more forward-looking information, guidance is likely high on the collective agenda
of every IRO, senior management team, and the Board. We'll help IROs understand
the changes in earnings guidance practices, anticipated market reaction to these
changes, and current best practices in communicating earnings guidance.
LEARNING OBJECTIVES:
• Gain insights into the changing trends in public company earnings guidance
practices, including how they vary by company size, industry, depth, and
breadth
• Understand how the market is likely to react to changes in guidance practices
in terms of both stock price and trading volume.
• Learn how IROs have worked with senior management to set their current
guidance practices and communicate them to Wall Street
Why Now? Guidance is always a timeless AND
timely topic for IROs. By understanding the practices
of your peers and current trading trends, IROs will be
in a better position to advise the management on the
firm's guidance policies

Boards and management that adapt to the current environment and consider

With this as a backdrop, the panel will address changes in regulation and investor

IR Strategic Plan - Are You Doing Everything Wrong? 2:55 pm - 3:55 pm
Bellagio 2
The starting point for an effective investor relations program goes well beyond
investor outreach. It begins with a well thought out strategic plan that takes into
account the organization's resources (financial, management time, etc.) as well as
the goals and objectives that the IR program is trying to achieve (improving your
shareholder base, increasing sell-side coverage, developing key messages,
providing shareholder feedback to senior management and competitive
intelligence to your business unit leaders, etc.)
So, whether you're new to IR and looking to learn about the key elements of an IR
strategic plan, or you're a seasoned pro looking to hear different perspectives on
IR strategic planning, this session is for you. And as inertia can be hard to change,
we're going to question the conventional wisdom of how we run our IR programs in
the hope of obtaining new perspectives that we can use to improve our IR
programs. This session will walk through some of the major buckets of an investor
relations strategic plan and panelists will provide a point/counterpoint in debate
form on why they believe that some tactics are better than others in achieving their
annual investor relations goals and objectives.
Resources to execute an IR program vary greatly based upon firm size, so the
panel features IROs across market cap sizes, industries as well as differing career
backgrounds.
LEARNING OBJECTIVES:
• Learn how to develop an annual IR strategic plan that maximizes corporate
resources and creates value beyond improving your shareholder base
• Learn about differing perspectives on how your IRO colleagues approach
multiple facets of their roles including target marketing, quiet periods, earnings
guidance, how best to work with the sell-side in order to achieve their goals,
etc.
• Learn how to monitor and report on the performance of your plan and adjust
tactics when needed
Why Now? While investor relations is a critical
activity for every public company, more than ever,
today's IRO needs to present a clear and compelling
case to senior management in order to obtain
necessary corporate resources (senior management
time, funding, etc.) so as to execute an effective
investor relations program that will play a critical role
in enhancing their firm's valuation.

Lack of Ownership: Talent needs to stop pointing the finger to their bosses, the
corporate culture in which they work, politics, or any other similar factors as the
reason for their lack of success and unhappiness with their careers. Most
professionals believe that their careers will take care of themselves or, worse yet,
someone else will figure it out for them.
Introspection and Self-Analysis: Professionals should invest in examining
themselves and who they see when they look in the mirror--they need to
contemplate broader considerations than just the obvious factors to which they

Ipreo: Straight From the Buy Side: Investors Speak on the Mechanics of Their Process 1:30 pm - 2:30 pm
Da Vinci 2-4
There's lots of research and discussion out there about buy-side investment
criteria. But what do they have to say about it? A panel of buy-side analysts will
share their methods and preferences regarding the mechanics - and logistics - of
their decision process, where they go for information, what methods they use to
connect with company management, and how IR can best facilitate this process.
LEARNING OBJECTIVES:
• Investment decision making process at the buy side
• Interaction between various constituencies on the buy side
• Buy side's interaction with sell-side - corporate access, research, execution
• The buy sides expectations of investor relations and senior management
Developed and
Sponsored by...
Why Now? Communicating with the
buy side and fostering relationships
with current shareholders and potential
shareholders continues to be a critical
aspect of an IRO's strategic and tactical
responsibilities. This session looks to inform the
IROs in attendance - through first-hand QA with the
buy side - on how they can adapt their approach to
best fit the way the internal investment decision
making process works.

Marketwired: 360 Degrees of Social Media for Today's IRO 1:30 pm - 2:30 pm
Bellagio 1,5
Opportunities abound for companies with a strong digital presence and robust
social media program, and today's IRO needs to think outside the traditional 'IR
box' when it comes to shareholder relations and investor engagement. Identifying
and managing crises, tapping into investor sentiment, and fostering real-time
communication help today's IROs lead the pack. This interactive panel features
some of today's foremost experts in social IR who will discuss the state of investor
communications, the social-savvy enterprise, and why Wall Street is paying
attention to the social IRO.
LEARNING OBJECTIVES:
• Discover how Wall Street is using social media, and why companies with active
social media personalities and programs are carving a niche of their own
• Learn to leverage digital technology and incorporate social media into your
communications strategy to better engage your shareholders and attract
investors
• Understand why it's important to operationalize social communications
throughout the organization, why champions of social infrastructure are
positioned for optimal performance
• Realize that you can lead a social-savvy IR team and still keep your company
compliant
Developed and

Why Now? Social media
usage and engagement are
not widespread practices in
investor relations circles. Concerns about regulatory
compliance and the disclosure of material news
make adopting social media and using its channels
as primary communication tools something to be
thoughtfully considered. But social media
increasingly presents opportunities to directly access
and build relationships with shareholders, media and
influencers who are active on Twitter, Facebook and
blogs. For those IROs who are social-media savvy,
there can be a direct connection between their
engagement, enhanced shareholder relations and an
improved bottom line.

Doubling Down on the Competition for Capital: Going Global with your Investor Relations Program 3:05 pm - 4:05 pm
Da Vinci 2-4
While global issues such as corporate governance, social and financial activism,
and MA are common place, the investment landscape from the U.S. to Europe to
Asia is markedly different. A fruitful global IR program is no longer just a priority for
multi-billion dollar consumer brands. Instead, thanks to increased technology and
a broader set of resources, a productive global IR program can be established
across a variety of industries and budgets
Recent research by FTI Consulting conducted with global institutional investors
identified some interesting trends that include increasing amount of funds seeking
investment targets outside of their region; brokers becoming too conflicted to give
impartial advice; and the geographic consistency of the core pillars driving
investment decisions.
In an increasingly competitive and global market, delivering the right messages
and leveraging the right channels, beyond an international roadshow, is an
essential to establishing your global IR program. Furthermore, understanding the
differences, and similarities across various markets while implementing a program
that is centered on value-driven messaging, strategic engagement and
preparedness will be the key to maximizing the ROI of your program.
LEARNING OBJECTIVES:
• Understanding the dynamics of the global investment landscape
• Utilizing investor relations and shareholder engagement research to maximize
the ROI of your efforts and global program
• How to build a global IR program on any budget
Why Now? For companies looking to raise their
profile and globalize their investor relations program,
understanding the nuances and trends that define
the different investment centers is imperative along
with optimizing your management's time and budget.

new and existing shareholders for as long as the IR function has existed. The
current reality of budget and time constraints paired with the global nature of
equity markets has changed the nature of the NDRs and how it needs to occur.
IROs want to know how to make their company's time and money matter.
This session will explore the risks and opportunities of going on the road, whether,
when and how to involve a sell-side corporate access team, an IR firm, or going
solo; the cities and regions providing the most opportunity; targeting tips from the
pros, streamlined logistics, marketing tools and messaging, as well as NDR
measurement techniques. For those wondering about non-U.S. locations, a
meaningful portion of this session will be devoted to the locations, investor care-
abouts, and targeting tips for Europe and Asia.
LEARNING OBJECTIVES:
• Learn the big money centers in the US, Europe, and Asia and how to determine
where, when, and who to visit
• Gain tips on logistics and planning
• Learn which corporate access teams, IR firms, cities, and investors you should
consider based on your company profile and goals
• Learn how to tailor your message with the appropriate metrics to investors and
how to get management buy-in

Reputation - Protecting Your Personal Credibility 3:05 pm - 4:05 pm
Bellagio 2
Reputation is the name of the game. Our job is to protect our company's
reputation - and we can all learn a more structured approach to doing so. But,
we often face situations when we personally or professionally do not
agree with the approach and strategy management is taking - on
business and or on communication. We get the heat from the
street. How do we protect our own credibility while not
disrespecting management?
It's a delicate balance. Come learn how other IROs managed through these types
of situations, or decided to move on. Situations can range from regulatory to

The Nuts and Bolts of Success with European Shareholders 4:10 pm - 5:10 pm
Raphael 2-3
When looking at European investors, we generally find a stable, long-term oriented
shareholder base; all attributes that resonate well with IR professionals. Since the
European crisis, these investors have become more interested in investing outside
of Europe. Is there anything specific you can do to tailor your investment story
towards European investors? How often do you typically need to see them before
they invest? And is it enough to go to London and Edinburgh or are there other big
pockets of money that are worth visiting? This session will give updates on the
current investment appetite in Europe and provide practical tips on where to go
and how a company should evaluate whether to include Europe in their IR
outreach.
LEARNING OBJECTIVES:
• Learn how to evaluate whether targeting European shareholders is right for your
company
• Learn about the money centers in Europe and the profile of companies these
investors are interested in
Why Now? European investors have become more
interested in investing outside of Europe. However,
US stocks have seen a rally last year and forecasts
for this year are lower. Has that diminished their
interest in US companies? Should US companies still
target this market? Are Europeans interested in other
markets, such as emerging markets?

Targeting to Find the Incremental Buyer 4:10 pm - 5:10 pm
Da Vinci 2-4
Effective investor targeting is critical to being successful in investor relations, yet
with all the resources available, it has become more difficult. The typical buy-side
analyst covers more than 100 companies and has their own screening tools and
target lists, resulting in their openness to unsolicited inquiries fairly low. So how do
you reach the right audience to optimize your shareholder base?
Listen to our panel of experts to learn what works best in investor targeting, and
what doesn't.
LEARNING OBJECTIVES:
• Create an effective investor target list
• Learn effective tactics in targeting new and/or underweight investors
• Learn ways to best utilize the sell-side in investor targeting
• Learn how to target on a low budget
