CORPORATE GOVERNANCE
 Corporate governance is the system of rules, practices, and
processes by
which a firm is directed and controlled. This involves
resolving conflicts of
interest between the various stakeholders and ensuring
that the
organization is managed well

• It entails the areas of environmental awareness, ethical
behavior, corporate
strategy, compensation, and risk management.

• A company's board of directors is the primary force
influencing corporate
governance
 While the basic principles of corporate governance are
accountability,
transparency, fairness, and responsibility Thus,

• All shareholders should be treated equally and fairly
Organizations should define a code of conduct for
board members and
executives, only appointing new individuals if they
meet that standard.
All corporate governance policies and procedures should be transparent
or disclosed to relevant stakeholders.
 One company that has consistently practiced good corporate
governance is
PepsiCo.
PepsiCo took input from investors to focus on six areas:
• Board composition, diversity, and refreshment, and leadership
structure
• Long-term strategy, corporate purpose, and sustainability issues
• Good governance practices and ethical corporate culture
• Human capital management
• Compensation discussion and analysis
• Shareholder and stakeholder engagement
Therefore, Good corporate governance means that processes of
disclosure and
transparency are followed so as to provide regulators as well as the
general public
with precise and accurate information about the financial, operational
and other
aspects of the company
However, Bad corporate governance can cast doubt on a company's
operations
and its ultimate profitability as in case of Volkswagen AG
STATICICAL ANALYSIS
 The statistical analysis of the corporate governance
system is aimed to extract some objective information
from national and international data sources. The
basic database for the statistical analysis of corporate
sector is the General State List of Enterprises and
Organizations .
 These factors are
considered to be important for transition countries-
the following factors:-
 • balance of payments, capital inflows and outflows;
 • macroeconomic management, primarily for capital
inflows;

• institutional and market evolution, explaining recourse
to financial regulations and controls
on most types of inflows and outflows;

• weak domestic regulatory systems and financial
repression,

• explaining the overall use of capital controls;
• the size and stage of development of the economy

.LACK OF BOARD EFFECTIVENESS
Ineffective boards suffered from limitations on skills and
competence, as well as on the
nonexecutive directors’ (NED) ability to monitor and
control senior executives effectively.
For
instance, the board director who was responsible for
refining at BP at the time of the Texas City
refinery explosion had no refining experience.
Independent Insurance’s NEDs did not have insurance
industry expertise.
 2 BOARDS' RISK BLINDNESS
This is characterised by a board’s failure to engage with
important risks, such as risks to reputation
and “licence to operate”, to the same degree that they
engage with reward and opportunity. For
example, Railtrack’s licence to operate depended on
the UK government, but the company
outsourced track maintenance, despite the fact that
this was one of its core responsibilities to its
customers.
3 POOR LEADERSHIP ON ETHOS AND CULTURE
Double standards were perceived in cases such as
Maclaren’s dealing with its US and UK push-chair
(baby stroller) recalls and Société Générale’s ignoring
breach of trading limits by Jérôme Kerviel.

4. DEFECTIVE COMMUNICATION
Railtrack and Network Rail did not communicate

The EADS Airbus A380 project involved immense complexity at the
level of aircraft design,

The merger of BP and
Amoco made BP’s management structure overly complex.

6. INAPPROPRIATE INCENTIVES
BP’s bonus scheme gave little credit for achieving good health and
safety standards.

7. INFORMATION "GLASS CEILING"
This is characterised by an inability on the part of internal audit or risk
management teams to report
on risks originating from higher levels in their organisations’ hierarchy.
For example, red flags raised
by internal compliance over Kerviel’s trading patterns at Société
Générale had no effect.
Conclusion
 A successful corporate governance can be achieved by
adopting a set of principles that depend upon,
honesty, generosity, justice, and how companies
conduct their affairs. The virtue ethics of generosity,
justice, and honesty are all important in today’s
business due to the challenge’s organizations face with
growing globalization. It doesn’t discern between NGO
and business.

YEF is a non-profit organization founded in
June 2017 by Mr. Rambabu Sharma.
 Inspired by his own life journey, the founder along with his
team has laid a strong foundation to educate the
underprivileged children of the society and hence
bridge the gap between them and the world.
 As explained by the founder himself in his story,
poverty and education are inextricably linked, because
people living in poverty may stop going to
school, so they can work which leaves them without
literacy that they need for their careers.

Education in all different forms is a key for breaking
the cycle of poverty. It increases food security,
decreases malnutrition, enhances standard of living
and improves gender equality
 It teaches
children what they can and should expect from adults
and in turn also shows adults the benefits of
respecting their children’s rights.
 With the different kinds of training and initiatives
such as hamari
paathshala, Candle making, English learning,
computer learning and training, YEF is providing a
platform that will help these children to grow for
themselves as well as for the society
 Skills taught
by YEF such as an additional language, or any other
skill help these children to be on their own and
hence be the strongest pillars of the society in every
aspect. It also helps to develop confidence
which in turn adds to their mind development and
mental health.
 Being able to look up to
themselves for their careers and being self-dependent
leaves them with a spark that brings out the
best in these children
OUR VISION IN ACTION

We have taken initiative for social welfare by the end of
2015.Formally registered under Societies
Registration Act XXI of 1860 in 2017.Centers were opened
to equip our youngsters with knowledge
and skills to make them self-reliant.
 Our team visited slums for the counselling and parents.
More
than 100 children/youth enrolled in free education and
skill training programs. Group of
unemployed women also joined and trained under these
programs.

YEF App Development interns work on developing and
updating an app for stating it's objectives
and functioning along with perennial efforts to improve it
and increase it's utility for different
stakeholders.

The interns that work under the graphic designing team of

daily wage earners and their families by
distributing food & groceries.

While working on ground we have realized situation of
women residing and slum. Due to lac of

harmful traditional ways for their personal
hygiene
 Sanitary Pads is a very essential need and poor women
are neither able to get or nor afford
them. It puts their health and dignity both at huge

The basic database for the statistical analysis of corporate sector is the General State List of Enterprises and Organizations .

OUR VISION IN ACTION  We have taken initiative for social welfare by the end of 2015.Formally registered under Societies Registration Act XXI of 1860 in 2017.Centers were opened to equip our youngsters with knowledge and skills to make them self-reliant.  Our team visited slums for the counselling and parents. More than 100 children/youth enrolled in free education and skill training programs. Group of unemployed women also joined and trained under these programs.
