Winding up • As
per Section 2(94A) of the Companies Act, 2013, winding up” means – winding up under this Act or – liquidation under the Insolvency and Bankruptcy Code, 2016, as applicable. © CA (Dr) Prithvi Ranjan Parhi 4

Circumstances in which
Company may be Wound up by Tribunal [Section 271] • A company may, on a petition under section 272, be wound up by the Tribunal,— a) if the company has, by special resolution, resolved that the company be wound up by the Tribunal; b) if the company has acted against the interests of the sovereignty and integrity of India, the security of the State, friendly relations with foreign States, public order, decency or morality; © CA (Dr) Prithvi Ranjan Parhi 5

Circumstances in which
Company may be Wound up by Tribunal [Section 271] c) if on an application made by the Registrar or any other person authorised by the Central Government by notification under this Act, the Tribunal is of the opinion that the affairs of the company have been conducted in a fraudulent manner or the company was formed for fraudulent and unlawful purpose or the persons concerned in the formation or management of its affairs have been guilty of fraud, misfeasance or misconduct in connection therewith and that it is proper that the company be wound up; d) if the company has made a default in filing with the Registrar its financial statements or annual returns for immediately preceding five consecutive financial years; or e) if the Tribunal is of the opinion that it is just and equitable that the company should be wound up. © CA (Dr) Prithvi Ranjan Parhi 7

Petition For Winding
Up [Section 272] • Subject to the provisions of this section, a petition to the Tribunal for the winding up of a company shall be presented by— a) the company; b) any contributory or contributories; c) all or any of the persons specified in clauses (a) and (b); d) the Registrar; e) any person authorised by the Central Government in that behalf; or f) in a case falling under clause (b) of section 271, by the Central Government or a State Government. © CA (Dr) Prithvi Ranjan Parhi 9

Contributory • According to
section 2(26) of the Companies Act, 2013, a contributory means a person liable to contribute towards the assets of a company in the event of it being wound up. © CA (Dr) Prithvi Ranjan Parhi 10

Petition by contributory: •
A contributory shall be entitled to present a petition for the winding up of a company. • Shares in respect of which he is a contributory or some of them were either originally allotted to him or have been held by him, and registered in his name, – for at least six months during the eighteen months immediately before the commencement of the winding up or have devolved on him through the death of a former holder. © CA (Dr) Prithvi Ranjan Parhi 11

Petition by registrar: •
The Registrar shall be entitled to present a petition for winding up under section 271, except on the grounds specified in clause (a) or clause (e) of that sub- section. • Provided that the Registrar shall obtain the previous sanction of the to the presentation of a petition: • Provided further that the Central Government shall not accord its sanction unless the company has been given a reasonable opportunity of making representations. © CA (Dr) Prithvi Ranjan Parhi 12

company: • A petition presented by the company for winding up before the Tribunal shall be admitted only if accompanied by a statement of affairs in such form and in such manner as may be prescribed. © CA (Dr) Prithvi Ranjan Parhi 13

Powers of Tribunal
[Section 273] • Order passed by tribunal: • The Tribunal may, on receipt of a petition for winding up under section 272 pass any of the following orders, namely:— a) dismiss it, with or without costs; b) make any interim order as it thinks fit; c) appoint a provisional liquidator of the company till the making of a winding up order; d) make an order for the winding up of the company with or without costs; or e) any other order as it thinks fit: © CA (Dr) Prithvi Ranjan Parhi 15

Powers of Tribunal •
Time limit for passing of an order: An order under this sub- section shall be made within ninety days from the date of presentation of the petition. • Notice to company on appointing of provisional liquidator: Before appointing a provisional liquidator under clause (c), the Tribunal shall give notice to the company and afford a reasonable opportunity to it to make its representations, if any, unless for special reasons to be recorded in writing, the Tribunal thinks fit to dispense with such notice. • Tribunal shall not refuse to make a winding up order: The Tribunal shall not refuse to make a winding up order on the ground only that the assets of the company have been mortgaged for an amount equal to or in excess of those assets, or that the company has no assets. © CA (Dr) Prithvi Ranjan Parhi 17

Directions For Filing
Statement Of Affairs [Section 274] • Tribunal may order company to file a statement of its affairs: • Where a petition for winding up is filed before the Tribunal by any person other than the company, the Tribunal shall, if satisfied that a prima facie case for winding up of the company is made out, by an order direct the company to file its objections along with a statement of its affairs within thirty days of the order in such form and in such manner as may be prescribed. © CA (Dr) Prithvi Ranjan Parhi 19

• Extension of
time for filing: The Tribunal may allow a further period of thirty days in a situation of contingency or special circumstances. • Deposit of security: The Tribunal may direct the petitioner to deposit such security for costs as it may consider reasonable as a precondition to issue directions to the company. © CA (Dr) Prithvi Ranjan Parhi 21

Officers to pay
cost of the company, book of accounts completed and audited to the Liquidator : • The directors and other officers of the company, in respect of which an order for winding up is passed by the Tribunal under clause (d) of sub-section (1) of section 273, shall, within a period of thirty days of such order, submit, at the cost of the company, the books of account of the company completed and audited up to the date of the order, to such liquidator and in the manner specified by the Tribunal. © CA (Dr) Prithvi Ranjan Parhi 22

Overriding Preferential Payments
[Section 326] • Debts to be paid in priority: In the winding up of a company under this Act, the following debts shall be paid in priority to all other debts:— • workmen's dues; and • where a secured creditor has realised a secured asset, so much of the debts due to such secured creditor as could not be realised by him or the amount of the workmen's portion in his security (if payable under the law), whichever is less, pari passu with the workmen's dues. • In case of the winding up of a company, the sums referred to in sub- clauses (i) and (ii) of clause (b) of the Explanation, which are payable for a period of two years preceding the winding up order or such other period as may be prescribed, shall be paid in priority to all other debts (including debts due to secured creditors), within a period of thirty days of sale of assets and shall be subject to such charge over the security of secured creditors as may be prescribed. © CA (Dr) Prithvi Ranjan Parhi 23

Example • The value
of the security of a secured creditor of a company is Rs. 1,00,000. • The total amount of the workmen’s dues is Rs. 1,00,000. • The amount of the debts due from the company to its secured creditors is Rs. 3,00,000. • The aggregate of the amount of workmen’s dues and the amount of debts due to secured creditors is Rs. 4,00,000. • • The workmen’s portion of the security is, therefore, one- fourth of the value of the security, that is Rs. 25,000. © CA (Dr) Prithvi Ranjan Parhi 24
