4. EVOLUTION OF STARTUP POLICY
On 16 January 2016, the Government launched the ‘Startup India’ program with a stated objective to build a
strong ecosystem for nurturing innovation and startups in the country that would drive sustainable economic
growth and generate large scale employment opportunities.
It comprised of 19 action items spanning across three key areas of ‘simplification and handholding’, ‘funding
support and incentives’, and ‘industry-academia partnerships and incubation’. Under the provisions of this plan,
startups were entitled to a number of benefits such as tax incentives including capital gains tax exemption,
Governments’ assistance in funding, prioritisation of startups in public procurement, etc.
Some other key benefits that the Action Plan included were entitlement
to an 80% rebate in patent registration fees as well as a 50% rebate in
trademark filing. Startups could also benefit from faster exit norms and
free of cost assistance provided by patent and trademark facilitators in
filing for Intellectual Property Rights (IPRs).

5. DPIIT-recognised startups are exempted from tax under Income Tax Act on the amount exceeding Fair Market
value of shares for issue of shares above the face value.
● The startup has to provide a duly signed self-declaration in Form 2 which is sent to Central Board of
Direct Taxes (CBDT) to claim exemption from the provisions of Section 56(2) (viib) of the Income Tax Act.
● Tax on investments above face value is a tax rule applicable to investments by Indian residents in the
capital raised by private limited companies via issue of shares. It was introduced as an anti-abuse
provision in the 2012 Budget to restraint attempts to launder undisclosed income.
● The tax was charged at an effective rate of over 30% (till FY 19) on investments in shares “above face
value” made at a premium. Such an investment attracted the provisions of Section 56(2) (viib) of the
Income Tax Act under which the excess premium was taxed under the head “income from other
sources”.

16. What is a Startup Incubator ?
● A startup incubator is a collaborative program designed to help new
startups succeed
● Incubators help entrepreneurs solve some of the problems commonly
associated with running a startup by providing workspace, seed
funding, mentoring, and training
● The sole purpose of a startup incubator is to help entrepreneurs grow
their business
● Incubators often provide access to the resources needed to launch a
business. This may include office space and equipment, utilities
(including internet service) and discounted or free professional
services, such as accounting and legal help
● One of the greatest benefits of an incubator is the access it provides to
a network of successful business partners 16

55. LABOUR LAWS
• In today’s environment, we have more startups and entrepreneurs than ever
before. However, many startups do not reach their full potential due to limited
guidance and access.
• One of the many challenges facing any entrepreneur or organisation is that while
the economy and the working culture in many places have progressed with times,
the rules governing employment, benefits and terminations have often been
drafted a long years back.
• While most of these laws & acts have undergone amendments to make current
certain key provisions, there still does not exist a labour law framework which is
suitable for the current times. 55
56. The Ministry of Labour & Employment, with the aim to support & promote the
Start-Up and encouraging entrepreneurs in setting up new start-up issued an advisory
as follows:
● Start-ups shall be allowed to self-certify compliance (through the Startup mobile
app) with nine labour and environment laws. In case of labour laws, no inspections
will be conducted for a period of three years from the date of incorporation of the
start-up venture.
● For the first year from the date of starting the start-up, no inspection under the
labour laws will take place.
56
57. ● From the second year onwards, up to third year from the setting up of the units,
the start-up are required to furnish self-certified returns which will only be
inspected if a credible / verifiable complaint of violation is filed in writing and
approval has been obtained from the higher authorities.
● In the case of environment laws, Startups which fall under the ‘white category’ (as
defined by the Central Pollution Control Board (CPCB)) would be able to
self-certify compliance, and only random checks would be carried out in such
cases.

57
58. Concessions provided to Start-ups
The list of the six labour laws which are included in the Ministry's advisory for
exemption from compliance:
● The Building and Other Constructions Workers’ (Regulation of Employment and
Conditions of Service) Act, 1996
An Act to regulate the employment and conditions of service of building and other
construction workers and to provide for their safety, health and welfare measures.
58
59. ● The Inter-State Migrant Workmen(Regulation of Employment and Conditions of
Service) Act, 1979
This Act makes provision for availing with the onsite services of interstate workers by
the contractors / establishments to overcome only the temporary shortage of
required skilled workers in a state.
● The Payment of Gratuity Act, 1972
The employer has to pay gratuity to an employee upon the termination of service,
provided he has done a continuous service of 5 years or more.
59
60. ● The Contract Labour (Regulation and Abolition) Act, 1970
This Act tells that the principal employer is responsible for adequately providing the
following to the contract labour: Rest rooms & washing facilities, First aid facilities,
Timely and complete payment of wages.
● The Employees’ Provident Funds and Miscellaneous Provisions Act, 1952
This act provides for the compulsory contribution towards a fund for the future of an
employee after his retirement. EPF contributions are mandatory for employees drawing
less than Rs. 15,000 per month.
● The Employees’ State Insurance Act, 1948
This Act is to provide certain benefits to employees in case of sickness, maternity and
employment injury, and to make provisions for certain other matter to it

61. Reasons to give concessions to startup
● This advisory does not exempt start-up from the scope of compliance of labour
laws but the purpose of this advisory to make startup motivated to be
self-complied and fulfill adherence to the rule of law.
● Also, the exemptions allow some time for the new entrepreneurs to get familiar to
the labour laws and their implementing authorities.
● All such benefits do actually boost the start-up sector and the existing labour laws
are changed further to address the issues of the present times and make provision

62. Intellectual property rights (IPR) and startups
Intellectual Property means the creation of some tangible asset with respect to business and its operations. It primarily
encompasses Trade marks, Copyrights. Each category of IPR protects a different group of properties and work, therefore
choosing the right category is required.
• Unless a startup protects its patents, designs, and trademarks using Intellectual Property Rights, its rivals can copy them
and steal market share.
• Making it difficult for the originator of the idea to benefit from it. Hence patenting technologies and ideas are vital to the
success of a startup.
• Intellectual Property Rights are an important reason for the vast innovation around us.
• Disruptive startups are challenging incumbents with patented technology ideas. Intellectual Property Rights are also an
important reason behind the success of the Indian startup ecosystem.

76. PROCUREMENT BY GOVERNMENT
● Public procurement refers to the process by which govt and state owned
enterprises purchase goods and services from the private sector.
● Public procurement (government tenders) can also present useful pilot
opportunities for startups that have not yet been able to gain traction in
the private sector.
● Opening government tenders up to startups improves the choices
available to government bodies since startups are often more agile than
corporate vendors and can provide cheaper, more innovative products
and services.

79. WHAT IS GeM AND HOW CAN IT HELP YOUR STARTUP?
• Government e Marketplace (GeM) is an online procurement platform for
government ministries and departments, and the most widely used channel for
public procurement in India. MSMEs, DPIIT recognised startups and other
private companies can register on GeM as sellers and sell their products and
services directly to government entities.
• In order to promote inclusiveness, all DPIIT recognized Startups have been
provided functionality to list their products and services on GeM portal.
• The portal provides exemption to Startups from criteria of ‘prior experience’,
‘turnover’ and ‘submission of EMD’ to provide equal opportunity to young
entrepreneurs.

tender inquiries, contract award details and their corrigenda.
• The primary objective of this portal is to provide single point access to
the information on procurements made across various Ministries /
Departments and all the organizations under them. Startups can now
register on CPPP and become Preferred Bidders in Public Orders and
get exemptions on prior experience, prior turnover and earnest money
deposit requirements on the website
• A free and fair environment provides the startups with a level playing
ground amongst other competitors.

“After finishing many years of research and innovations in the water sector, I
planned to work as a social entrepreneur for eradicating clean water challenges
in rural and sub-urban India. As a start-up company, I was initially worried to
conduct business in India. However, Startup India program of Government of
India helped me a lot and changed my vision and attitude with positivity. Today,
I am elated and proud to say that H2O Mantra is grown up, providing
employment to many people and contributing steadily to the growth of India by
doing business through GeM, a startup friendly interface which provides us easy
and open access to customers across the country. Through the guidance of

“We are a recognised startup by the Government of India and received financial assistance
on the patent we filed for our unique technology. We were also given relief from various
labour laws during the early stage to ensure that we spend most of our time and energy on
bringing our innovation to life. Under the Startup India initiative, we got the opportunity to
meet various officials from multiple Ministries to advocate for changes in rules and
regulations and create a robust eco system for clean-tech ventures like ours. This ensured
that our efforts were aligned to the larger objectives of the government and we could play a
meaningful role in the development of the country. We are also the beneficiaries of the
Startup portal on Government e-Marketplace (GeM)
With the funding round led by IAN Fund in April 2019, we have been able to create over 70
jobs in the manufacturing sector and also build intellectual property to contribute towards
India’s growth and prosperity
There are multiple other benefits we have received under the Startup India scheme and
congratulate the revolutionary measures taken by the Government of India.”
