Wholesaler real estate assigment agreement
1. ASSIGNMENT OF REAL ESTATE PURCHASE AGREEMENT
This Agreement is entered into by and between High End Real Estate Investors, LLC,
(hereinafter called "Assignor" and/or “Buyer”); and Leroy & Chen Realty, LLC, (hereinafter
called "Assignee").
RECITALS
A. Assignor as Buyer entered into that certain Real Estate Purchase and Sale
Agreement, dated October 13, 2016, for the purchase of 431 Crest Avenue, Queens, NY 11691,
(hereinafter called “Premises”) a copy of which is attached hereto as Exhibit A and is
incorporated herein by this reference; and
B. Assignor desires to assign his/its rights and interest to said contract and Assignee
desires to purchase such rights and interests pursuant to the terms of this agreement.
NOW, THEREFORE, the parties agree:
1. For the sum of $740,000.00 from Assignee to Assignor, Assignor hereby assigns to Assignee
the Buyer's right, title and interest in, and the Buyer's obligations under the Real Estate Purchase
and Sale Agreement. The $740,000.00 shall include the assignment fee and purchase price
contained in the Real Estate Purchase and Sale Agreement be paid in the following manner:
a) $2,000.00 of which is a non-refundable deposit, unless the Seller referenced in the
Purchase and Sale agreement cannot convey title to the Premises, applied against
the assignment fee and payable with signing of this Assignment Agreement;
b) $100,500.00 of which is a down-payment to be applied against the purchase price
of the premises, payable with signing of this contract, which will be subject to the
same terms and conditions included in the Real Estate Purchase and Sale
Agreement and which will be held in a segregated escrow account by Assignee’s
escrow agent; and
c) balance to be allocated at closing pursuant to clause 12 of this Assignment
Agreement and the Real Estate Purchase and Sale Agreement.
2. Assignee's inspection period shall expire upon execution of this assignment.
3. Assignee acknowledges receipt of legible copies of the original Real Estate Purchase and Sale
Agreement in its entirety including all Addendum(s), if any, associated with this transaction.
4. Assignee acknowledges that this Assignment Agreement is non-assignable without the express
written consent of the Assignor. No changes to the Real Estate Purchase and Sale Agreement can
be made without written consent of Buyer.
5. Assignee acknowledges that no work, including but not limited to, cleanup or demolition work
may commence until after closing.
2. 6. Closing costs, title search fees, title insurance fees or any other additional fee's associated with
or related to the Real Estate Purchase and Sale Agreement or this Assignment Agreement are the
responsibility of Assignee.
7. Assignor and affiliated associates make no warranty, expressed or implied, regarding
inspection reports or other reports provided to Assignee by Assignor or third parties concerning
this property.
8. Assignee acknowledges they are conducting a transaction dealing directly with Assignor for
the purchase of the Premises. Assignee further acknowledges that they are not relying upon or
being represented by a real estate broker or brokerage in this transaction.
9. By accepting this assignment, Assignee agrees to perform all of the obligations of the Buyer
under the Agreement that first arise or become due on or after the effective date of this
assignment.
10. In the event of any inconsistency or conflict between the terms of the printed portion of this
Assignment Agreement and the terms of the Real Estate Purchase and Sale Agreement, the
terms of this Assignment Agreement shall govern and be binding.
11. If Assignee orders title searches and/or title insurance pursuant to the Real Estate Purchase
and Sale Agreement said title searches and/or title insurance must be ordered and cleared at least
two business days before the closing date indicated in the Real Estate Purchase and Sale
Agreement unless otherwise agreed to by Assignor. If Assignor orders title searches and/or title
insurance, on behalf of Assignee, Assignee shall reimburse Assignor for all fees at closing.
12. All payments made by Assignee pursuant to this Assignment Agreement and the Real Estate
Purchase and Sale Agreement shall be made by cashier’s check in the manner designated by
Assignor.
IN WITNESS WHEREOF, the parties have executed this agreement as their free and voluntary
act and deed, on the date indicated below.
