1 – Know your Customer (Department and Primes) BEFORE you engage! Do your homework!
2 – Register on the Prime’s website as a Small Business Vendor. Ensure your information is complete and
accurate and matches your SAM registration.
3 – Connect on Linkedin with the key players and follow the company to stay abreast of news and relevant
information. Sign up for Google alerts.
4 – Attend events and join associations where the company is active.
5 - Provide value - bring an opportunity and a custom Capability Statement geared to an Opportunity

1 – Understand the Terms of the Contract
• Prime has drafted the terms, assume that they intend to enforce them
• Ambiguities should be addressed before signing
• Prime Contract terms are important
• Subcontract, Teaming Agreement, or Joint Venture?
Sub-Contracting – LEGAL Best Practices

2 – Documentation and Notice
• Best way to avoid litigation and disputes is through proper documentation
• Handshake deals are risky – what happens when one party no longer agrees?
• Government requires thorough documentation of claims and costs
• Failure to provide notice can waive claims

3 – Understand the Relationships
• FAR provides little protection for subcontractors
• Government’s relationship is with the Prime only
• Who is responsible for changes, delays and other impacts?
• Payment rules and requirements are crucial

4 – Understand Disputes Procedures
• All claims for Government-caused delay must flow through the prime
• Effectively no right to walk off of a project
• Requests for Equitable Adjustment vs. Certified Claims
• False Claims Act

5 – Work to Avoid Disputes
• Rules are written to benefit Government and taxpayer, not contractors
• Project personnel are more likely to agree to equitable/logical remedies
• Engage legal counsel early to avoid the need for litigation
• Open and frequent dialogue with prime and Government

• You may not have a contract with the Government, but rules still apply
• Review flow downs prior to execution – should they be included?
• Not every clause flowed down to a subcontractor has meaning
• Beware of the Christian Doctrine
• Can be flowed down in full or by reference
