The rights granted hereunder are conditioned upon Customer's strict adherence to the terms and conditions of this Agreement.␣ ␣␣ ␣1. ␣Grant of Rights. Subject to the terms and conditions of this Agreement, UM grants Customer the one- time non-exclusive, non-transferable, non-assignable right to include the Material described at checkout and provided to Customer by UM hereunder. This is limited to a one-time permission for use. Customer has no right to sublicense any rights granted herein.␣␣ ␣␣ 2.␣Restrictions on Customer's Use. Unless specifically agreed to in writing by UM, Customer shall not alter or modify, or permit other parties to alter or modify, the Material. No part of the Material may be copied, reproduced, or used in any form for any purpose other than for those rights stated at checkout. Customer shall not use the Material as part of a logo, trademark, service mark, or book cover. The Material may not be used for promotional purposes and may not be used to directly promote or advertise Customer or any third-party products or services. The Material may not be used for any cause-related marketing. Customer agrees not to use the Material in any disparaging, pornographic, defamatory, or unlawful manner whether directly or in context or juxtaposition with other subject matter and agrees not to make any derogatory reference to the Materials or to UM or the producer of the Materials. Customer shall not use the Materials in such a way as to violate any person's right of privacy or publicity or to infringe upon any copyright, trade name, trademark or service mark of any person or entity. Customer shall not use the Materials in connection with a subject that would be unflattering or controversial to a reasonable person. In the event Customer is granted the right to distribute the Materials in electronic or digital form hereunder, Customer agrees to use reasonable commercial efforts to prevent the Materials from being separately distributed or downloaded. Customer agrees to indemnify and hold UM and the producer of the Materials and their respective affiliates harmless from any and all claims and liabilities, judgments, penalties, losses, costs, damages, and expenses resulting therefrom, including reasonable attorneys' fees, incurred by any of them arising by reason of or in connection with any act under or in violation of this Agreement by Customer.␣ ␣␣ ␣3. Intellectual Property.UM and/or its contributing producers own all right, title and interest in and to the copyrights, trademarks and other intellectual property rights in the Material. Nothing in this Agreement shall be construed to transfer any copyright, trademark or other intellectual property interest in the Material to Customer. UM reserves all rights of every kind and nature except those specifically granted to Customer herein. Customer hereby assigns and transfers to UM all trademark, copyright and other intellectual property rights created by any use of the Materials by Customer. Customer agrees to execute all papers and to perform such other proper acts as UM may deem necessary to secure for UM or its designee the rights herein assigned.␣␣ ␣␣4.␣Clearances. UM makes no representations or warranties that it owns or grants any rights in or to any copyright, trademark, or right of publicity belonging to any person, place or property depicted in the Material.␣ ␣␣ ␣5.␣Limitation on Liability. UM SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO CUSTOMER FOR INCIDENTIAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST OR IMPUTED PROFITS ARISING OUT OF THIS AGREEMENT OR ITS TERMINATION OR EXPIRATION, WHETHER LIABILITY IS ASSERTED IN CONTRACT OR TORT AND IRRESPECTIVE OF WHETHER UM HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH LOSS OR DAMAGE. CUSTOMER HEREBY WAIVES ANY CLAIM THAT THESE EXCLUSIONS DEPRIVE IT OF ANY ADEQUATE REMEDY. UM'S LIABILITY HEREUNDER SHALL BE LIMITED TO THE MONETARY VALUE OF ANY MONIES RECEIVED BY UM IN CONNECTION WITH THE INVOICE.␣␣ ␣␣ 6.␣Removal Obligation. Upon notice from UM, or upon Customer's knowledge that any Material is subject to a threatened or actual claim of trademark or copyright infringement or violation of any other right, or if UM notifies Customer that UM's rights to the Material are terminated, Customer will physically remove the Material from its premises, computer systems and storage (electronic or physical) and cease any further use at its own expense.␣ ␣␣ ␣7.␣Breach and Termination. In the event of the breach of this Agreement by Customer, UM shall have the right to terminate this Agreement, with immediate effect, by giving written notice to Customer. Upon the expiration or earlier termination of this Agreement, Customer shall promptly cease use of the Materials and destroy or delete the Material from its computer or other electronic storage systems.␣␣ ␣␣ 8. Miscellaneous Provisions.Customer's relationship to UM under this Agreement shall be that of independent contractor. Nothing in this Agreement shall be considered to create a partnership, joint venture or similar relationship between the parties. Failure by either party to enforce any rights under this Agreement shall not be construed as a waiver of such rights. A waiver by either party of default in one or more instances shall not be construed as a continuing waiver or as a waiver in other instances. If any provision of this Agreement is held invalid, illegal, or unenforceable in any respect, the other provisions of this Agreement shall not be affected. The rights and obligations of the parties with respect to any term required for the interpretation of this Agreement or necessary for the full observation and performance by each party of all rights and obligations arising prior to the date of expiration or termination of this Agreement, shall survive any expiration or termination of this Agreement. This Agreement contains the entire understanding of the parties on its subject matter and may be modified or amended only by a written instrument executed by both parties. In the event of any inconsistency between the terms contained herein and the terms contained on the form at checkout, or other communication sent by Customer, the terms of this Agreement shall govern. This Agreement shall be governed by and construed according to the laws of the State of New York, without reference to its laws relating to conflicts of law. Any disputes arising from this Agreement or its enforceability shall be brought in the State of Federal courts of the State of New York.
