2007   • Maxicare was acquired by Pin-An Holdings of the
         Antonio Go Group of Companies.


       • Maxicare opened its Filomena Primary Care Center

2008
• Maxicare opened its Primary Care Center in My
         Health Clinic at Festival

2009     Supermall, Alabang, Muntinlupa City.




       • Maxicare opened Primary Care Center in St. Luke’s
         Medical Center in Global City, Taguig.
       • Maxicare publicly unveiled its two newest products:
         MyMaxicare for Individuals and Families; and Maxicare
         Plus for SMEs.

2010   • Maxicare has transferred one of its Primary Care Centers
         to a new and bigger location at the Makati Medical Center.

HOUSE CODE OF DISCIPLINE
 Rules and regulations are necessary to define which actuations
  are inimical to the interest of the Company and to the general
  welfare of its employees. They are Management’s guidelines
  aimed towards harmony and efficiency through discipline and
  understanding.

The following rules and regulations clearly:
• define some offenses inimical to the interest of the company
  and its employees;
• prescribe the disciplinary action to be meted out of the
  offender;
• describe some working guidelines

  Management will apply the Rules and Regulations
  fairly, without fear or favor.

CLASS A (Grave Offenses)
• A.1 Theft, Stealing, Removal of company
  property, materials, equipment, supplies without proper
  authorization. (N)
• A.2 Sabotage, deliberate restraint, disruption or stoppage of
  work or output: cheating, intimidating, coercing or bribing co-
  workers to commit these acts.
• A.3 Misappropriation of company funds. (N)
• A.4 Accepting kickbacks, rebates, commissions, favors, in
  obtaining supplies or services for the company or in awarding
  contracts to suppliers.
• A.5 Offering or accepting gifts or favor in exchange for a
  job, work assignment, work location, or favorable condition of
  employment for self-aggrandizement.
• A.6 Tampering or falsification of time records or work output
  records, whether the employee’s own or somebody else’s. (N)
CLASS A (Grave Offenses)
• A.7 Falsification of company records and
  documents, including any misrepresentation made when
  applying for employment.
• A.8 Padding of expense accounts for reimbursement from
  company or charging to the company unnecessary expenses
  as well as unauthorized ones that benefit only the employee
  in question.
• A.9 Unauthorized entering into contracts with any other
  person or business enterprise on behalf of the company.
• A.10 Substituting company
  materials, equipment, tools, parts, etc. with those of inferior
  quality or lesser value in order to favor certain suppliers.
CLASS A (Grave Offenses)
• A.11 Carrying a gun, knife, explosive or other deadly
  weapons in company premises or vicinity; brandishing this
  weapon with or without any intention to harm people
  within company premises or vicinity. Exemption: unless
  there is prior management consent or as required by the
  nature of the job.
• A.12 Inflicting bodily injury or attempting to inflict bodily
  injury upon another person within company premises or
  vicinity.
• A.13 Insubordination, disrespect, discourtesy, insult or use
  of foul language towards one’s superiors or peers. (N)
CLASS A (Grave Offenses)
• A.14 Reporting for work under the influence of alcohol or
  prohibited drugs. Drinking liquor or any intoxicating drink
  within company premises or during official company hours.
  Bringing in or taking of illegal and harmful drugs within
  company premises. (N)
• A.15 Taking part in any form of gambling, including soliciting
  bets within company premises. (N)
• A.16 Unauthorized disclosure of confidential information
  concerning company operations, trade secrets, or any
  restricted data to unauthorized persons. (N)
• A.17 Conviction for any criminal offense. (N)
CLASS A (Grave Offenses)
• A.18 Engaging in sexual acts or lascivious behavior within
  company premises or during company time. (N)
• A.19 Engaging in any subversive acts (including distribution of
  subversive materials) within company premises or within
  company time.
• A.20 Provoking a quarrel or fistfight or participating in
  one, even though there may be no resulting physical injuries
  on both sides. Except when committed in self-defense. (N)
• A.21 Destruction, damage, or loss of company property due
  to gross neglect.
• A.22 Misrepresenting one’s authority to act in the company’s
  behalf. (N)
CLASS A (Grave Offenses)
• A.23 Engaging in a business venture, or providing service
  which conflicts/competes with the company’s interests.
  (moonlighting/sideline). (N)
• A.24 5 days unexcused absences whether consecutive or not
  within a month. (N)
• A.25 Dishonesty prejudicial to the company. (N)
• A.26 Other causes analogous to the foregoing. (N)
• A.27 Failure to report that one has contracted a contagious
  disease when such ailment endangers fellow workers.
• A.28 Willful failure to undergo or subject himself to an
  annual medical check-up.
CLASS B (Serious Offenses)

• B.1 Lending ID card to another person or assisting non-
  employees to enter company premises and restricted areas
  without management permission.
• B.2 Willful disregard of notices and signs such as “No Entry”
  in restricted areas.
• B.3 Sleeping on company time while on duty.
• B.4 Falsely testifying for or against a person who is the
  subject of a company investigation; concealing matters of
  interest to the company where its employees are or may be
  involved. Refusal to cooperate in a company investigation. (N)
• B5 Commission of any act that puts the company’s or the
  group’s reputation and goodwill in bad light.
CLASS B (Serious Offenses)
• B.6 Acting in a disorderly manner, thereby disrupting work.
• B.7 Leaving work assignment and company premises during
  working hours without permission from or information given
  to one’s immediate superior; also known as “undertime”.
• B.8 Doing overtime work on lesser time than that sought to
  be charged.
• B.9 Refusal to submit to, or failure to meet, the security and
  safety requirements of the company.
• B.10 Unauthorized, improper, incorrect use of company
  vehicle or property. Any damage or injury caused to company
  property or to the employee or to any third party stemming
  from such use shall be the responsibility of the erring
  employee alone and shall not be shouldered by the company.

CLASS B (Serious Offenses)

• B.11 Promoting, engaging in, or practicing usury within
  company premises or on company time.
• B.12 Deliberate slow down or dragging out of work that
  directly affects productivity.
• B.13 Failure, refusal, neglect to follow and obey verbal or
  written orders from superiors; refusal or negligence to
  perform assigned work. Gross and Habitual neglect in the
  performance of one’s duties and incompetence. (N)
• B.14 Other causes analogous to the foregoing. (N)
C   MAJOR OFFENSES or those         1st OFFENSE – Written

CLASS C (Major Offenses)

• C.1 Smoking within restricted areas in the company.
• C.2 Showing pornographic materials, pictures, or literature
  during company time or in company premises.
• C.3 Malingering or feigning illness to avoid doing assigned
  work.
• C.4 Failure to file (within one working day) a report of an
  accident involving company personnel or property.
• C.5 Reading unrelated materials during working
  hours, thereby causing loss in productivity.
• C.6 Littering in company premises.
CLASS C (Major Offenses)
• C. 7 Disregard of office regulations relating to sanity and orderly
  conditions of the workplace, security of office equipment, and
  economic use of supplies.
• C.8      Unauthorized presence in company restricted areas during
  working and non-working days.
• C.9      Wasting time, loafing or loitering while on duty.
• C.10 Rumor-mongering or spreading false information against any
  person or the company.
• C.11 Unauthorized posting or removing of bulleting board matters.
• C.12 Distribution, Circulation, Possession of unauthorized or
  unofficial printed matters within the company premises or during
  official company hours. Unauthorized solicitation of any kind within
  company premises or during official company time. (N)
• C.13 Other causes analogous to the foregoing. (N)
CLASS D (Minor Offenses)

• D.1Failure to maintain cleanliness and
  orderliness in personal appearance.
• D.2Failure to wear the prescribed company
  uniform and ID.
• D.3Non-cooperating in any company group
  work or activity.
• D.4Failure to fill-out proper forms or to
  observe procedures prescribed by the
  company.
CLASS D (Minor Offenses)

• D.6 Failure to notify supervisor or Department Head
  that employee will be late or absent, within one hour
  after start of work. (N)
• D.7 Failure or refusal to comply with company
  policies or regulations issued from time to time by
  duly authorized personnel. (N)
• D.8 Other causes analogous to the foregoing. (N)
III. ATTENDANCE
•   ABSENCES – Absences may be excused or unexcused
•   Excused Absences are:
•   Absences due to valid reason and with approved prior
    notification
•   Vacation, sick and maternity leave
•   Unexcused Absences are:
•   Absences without approved prior notification
•   Absences without valid reason
•   In case of emergency absences, employee must call the
    Department Head and/or the Human Resource Dept. by
    telephone or other means to inform Management of
    his/her situation. The employee must fill out the Leave of
    Absence form at the HR Dept. on the first day when he/she
    reports for work.
III. ATTENDANCE
• Disciplinary measures on unexcused absences:
•      1st OFFENSE -         Oral reprimand
•      2nd OFFENSE -Written reprimand
•      3rd OFFENSE - 3 to 6 working day suspension
•      4th OFFENSE - 6 to 12 working day suspension
•      5th OFFENSE -         TERMINATION

3. Absence without official leave for five (5) consecutive days is
   abandonment of work and employee is considered
   terminated from the company.
III. ATTENDANCE
•   TARDINESS
•   Every employee has obligation to be punctual not only in
    coming to work but also in starting his work. This means
    that he has to be at his desk before the start of office hours.
    If he comes late, the flow of work in the office is disrupted.
    This is not only annoying to his co-employees but also
    means an added burden to those who will do his work.
III. ATTENDANCE
•   EXCESSIVE TARDINESS is defined as coming to work four (4)
    times late within one calendar month.
•   SANCTIONS:
•      1st OFFENSE -         Oral reprimand
•      2nd OFFENSE -         Written reprimand
•      3rd OFFENSE -         3 to 6 working day
    suspension
•      4th OFFENSE -         6 to 12 working day suspension
•      5th OFFENSE -         TERMINATION
III. ATTENDANCE
•   EFFECT ON OVERTIME – No person who is late in a day will
    be allowed to work overtime within the same day.
•   UNDERTIME
•   After an employee has punched in his time card, he is not
    supposed to leave the office during office/working hours
    unless his work calls for it. However, if he must leave the
    office such as:
•   when his superior sends him on official business;
•   when he is called home due to unforeseen circumstances or
    emergencies;
•   in case of sudden illness;
III. ATTENDANCE
• the employee has to ask permission to leave the office by
  accomplishing a Leave of Absence Form from the HR Dept. In
  case of illness, proper clearance shall be required from the
  Medical Director or Asst. Medical Director.
• Undertime may be permitted upon prior request to and
  approved by the Human Resource Manager, thru proper
  notification by the immediate supervisor or department
  manager.
• Undertime will be deducted from the employee’s salary and
  will be likewise noted down in the employee’s 201 file if
  unexcused for the purpose of disciplinary action or evaluation
  of his over-all efficiency.
III. ATTENDANCE
• Unexcused undertime will have the same
  sanctions as Tardiness.
IV.     DEFINITION OF TERMS
•   Lascivious Behavior – engaging in overtly sexual behavior
    (kissing, hugging, touching of sensitive body parts) or in
    sexual harassment within company premises and company
    time. An important thing to consider here is the context of
    the supposed violation.
•   Subversive Activities – those activities which tend to
    attempt to destabilize legally constituted authority.
•   Gross Neglect – consistent, deliberate non-compliance with
    work instructions or job steps.
•   Premises – this refers to the Head Office (19th and 18th Flr);
    Maxicare Centers
•   Emergency – an unforeseen combination of circumstances
    or the resulting state that calls for immediate action; a
    threat to loss of life, property, or limb.
V. CUMULATION OF OFFENSES


• All offenses except Attendance are considered
  cumulative until the employee’s separation from the
  company.
• For Attendance (absences and tardiness), the
  cumulation period is one year. This means that
  subsequent excessive tardiness/absences must occur
  within one year after first occurrence in order to be
  considered as part of a pattern of behavior which we
  want to correct. After this period, all previous
  offenses of the same nature will not be considered.

  • 38. HOUSE CODE OF DISCIPLINE Rules and regulations are necessary to define which actuations are inimical to the interest of the Company and to the general welfare of its employees. They are Management’s guidelines aimed towards harmony and efficiency through discipline and understanding. The following rules and regulations clearly: • define some offenses inimical to the interest of the company and its employees; • prescribe the disciplinary action to be meted out of the offender; • describe some working guidelines Management will apply the Rules and Regulations fairly, without fear or favor.

(N) • A.4 Accepting kickbacks, rebates, commissions, favors, in obtaining supplies or services for the company or in awarding contracts to suppliers. • A.5 Offering or accepting gifts or favor in exchange for a job, work assignment, work location, or favorable condition of employment for self-aggrandizement. • A.6 Tampering or falsification of time records or work output records, whether the employee’s own or somebody else’s. CLASS A (Grave Offenses) • A.7 Falsification of company records and documents, including any misrepresentation made when applying for employment. • A.8 Padding of expense accounts for reimbursement from company or charging to the company unnecessary expenses as well as unauthorized ones that benefit only the employee in question. • A.9 Unauthorized entering into contracts with any other person or business enterprise on behalf of the company. • A.10 Substituting company materials, equipment, tools, parts, etc. with those of inferior quality or lesser value in order to favor certain suppliers.

CLASS A (Grave Offenses) • A.11 Carrying a gun, knife, explosive or other deadly weapons in company premises or vicinity; brandishing this weapon with or without any intention to harm people within company premises or vicinity. Exemption: unless there is prior management consent or as required by the nature of the job. • A.12 Inflicting bodily injury or attempting to inflict bodily injury upon another person within company premises or vicinity. • A.13 Insubordination, disrespect, discourtesy, insult or use of foul language towards one’s superiors or peers. Drinking liquor or any intoxicating drink within company premises or during official company hours. Bringing in or taking of illegal and harmful drugs within company premises. (N) • A.15 Taking part in any form of gambling, including soliciting bets within company premises. (N) • A.16 Unauthorized disclosure of confidential information concerning company operations, trade secrets, or any restricted data to unauthorized persons. (N) • A.17 Conviction for any criminal offense. (N)

(N) • A.19 Engaging in any subversive acts (including distribution of subversive materials) within company premises or within company time. • A.20 Provoking a quarrel or fistfight or participating in one, even though there may be no resulting physical injuries on both sides. Except when committed in self-defense. (N) • A.21 Destruction, damage, or loss of company property due to gross neglect. • A.22 Misrepresenting one’s authority to act in the company’s behalf. (N)

(N) • A.24 5 days unexcused absences whether consecutive or not within a month. (N) • A.25 Dishonesty prejudicial to the company. (N) • A.26 Other causes analogous to the foregoing. (N) • A.27 Failure to report that one has contracted a contagious disease when such ailment endangers fellow workers. • A.28 Willful failure to undergo or subject himself to an annual medical check-up.

CLASS B (Serious Offenses) • B.1 Lending ID card to another person or assisting non- employees to enter company premises and restricted areas without management permission. • B.2 Willful disregard of notices and signs such as “No Entry” in restricted areas. • B.3 Sleeping on company time while on duty. • B.4 Falsely testifying for or against a person who is the subject of a company investigation; concealing matters of interest to the company where its employees are or may be involved. Refusal to cooperate in a company investigation. (N) • B5 Commission of any act that puts the company’s or the group’s reputation and goodwill in bad light.

CLASS B (Serious Offenses) • B.6 Acting in a disorderly manner, thereby disrupting work. • B.7 Leaving work assignment and company premises during working hours without permission from or information given to one’s immediate superior; also known as “undertime”. • B.8 Doing overtime work on lesser time than that sought to be charged. • B.9 Refusal to submit to, or failure to meet, the security and safety requirements of the company. • B.10 Unauthorized, improper, incorrect use of company vehicle or property. Any damage or injury caused to company property or to the employee or to any third party stemming from such use shall be the responsibility of the erring employee alone and shall not be shouldered by the company. CLASS B (Serious Offenses) • B.11 Promoting, engaging in, or practicing usury within company premises or on company time. • B.12 Deliberate slow down or dragging out of work that directly affects productivity. • B.13 Failure, refusal, neglect to follow and obey verbal or written orders from superiors; refusal or negligence to perform assigned work. Gross and Habitual neglect in the performance of one’s duties and incompetence. (N) • B.14 Other causes analogous to the foregoing. (N)

CLASS C (Major Offenses) • C. 7 Disregard of office regulations relating to sanity and orderly conditions of the workplace, security of office equipment, and economic use of supplies. • C.8 Unauthorized presence in company restricted areas during working and non-working days. • C.9 Wasting time, loafing or loitering while on duty. • C.10 Rumor-mongering or spreading false information against any person or the company. • C.11 Unauthorized posting or removing of bulleting board matters. • C.12 Distribution, Circulation, Possession of unauthorized or unofficial printed matters within the company premises or during official company hours. Unauthorized solicitation of any kind within company premises or during official company time. (N) • C.13 Other causes analogous to the foregoing. (N)

CLASS D (Minor Offenses) • D.1Failure to maintain cleanliness and orderliness in personal appearance. • D.2Failure to wear the prescribed company uniform and ID. • D.3Non-cooperating in any company group work or activity. • D.4Failure to fill-out proper forms or to observe procedures prescribed by the company.
  • 53. CLASS D (Minor Offenses) • D.6 Failure to notify supervisor or Department Head that employee will be late or absent, within one hour after start of work. (N) • D.7 Failure or refusal to comply with company policies or regulations issued from time to time by duly authorized personnel. (N) • D.8 Other causes analogous to the foregoing. (N)

ATTENDANCE • ABSENCES – Absences may be excused or unexcused • Excused Absences are: • Absences due to valid reason and with approved prior notification • Vacation, sick and maternity leave • Unexcused Absences are: • Absences without approved prior notification • Absences without valid reason • In case of emergency absences, employee must call the Department Head and/or the Human Resource Dept. by telephone or other means to inform Management of his/her situation. The employee must fill out the Leave of Absence form at the HR Dept. on the first day when he/she reports for work.

ATTENDANCE • Disciplinary measures on unexcused absences: • 1st OFFENSE - Oral reprimand • 2nd OFFENSE -Written reprimand • 3rd OFFENSE - 3 to 6 working day suspension • 4th OFFENSE - 6 to 12 working day suspension • 5th OFFENSE - TERMINATION 3. Absence without official leave for five (5) consecutive days is abandonment of work and employee is considered terminated from the company.
  • 56. III. ATTENDANCE • TARDINESS • Every employee has obligation to be punctual not only in coming to work but also in starting his work. This means that he has to be at his desk before the start of office hours. If he comes late, the flow of work in the office is disrupted. This is not only annoying to his co-employees but also means an added burden to those who will do his work.

ATTENDANCE • EXCESSIVE TARDINESS is defined as coming to work four (4) times late within one calendar month. • SANCTIONS: • 1st OFFENSE - Oral reprimand • 2nd OFFENSE - Written reprimand • 3rd OFFENSE - 3 to 6 working day suspension • 4th OFFENSE - 6 to 12 working day suspension • 5th OFFENSE - TERMINATION

ATTENDANCE • EFFECT ON OVERTIME – No person who is late in a day will be allowed to work overtime within the same day. • UNDERTIME • After an employee has punched in his time card, he is not supposed to leave the office during office/working hours unless his work calls for it. However, if he must leave the office such as: • when his superior sends him on official business; • when he is called home due to unforeseen circumstances or emergencies; • in case of sudden illness;
  • 59. III. ATTENDANCE • the employee has to ask permission to leave the office by accomplishing a Leave of Absence Form from the HR Dept. In case of illness, proper clearance shall be required from the Medical Director or Asst. Medical Director. • Undertime may be permitted upon prior request to and approved by the Human Resource Manager, thru proper notification by the immediate supervisor or department manager. • Undertime will be deducted from the employee’s salary and will be likewise noted down in the employee’s 201 file if unexcused for the purpose of disciplinary action or evaluation of his over-all efficiency.
  • 60. III. ATTENDANCE • Unexcused undertime will have the same sanctions as Tardiness.
  • 61. IV. DEFINITION OF TERMS • Lascivious Behavior – engaging in overtly sexual behavior (kissing, hugging, touching of sensitive body parts) or in sexual harassment within company premises and company time. An important thing to consider here is the context of the supposed violation. • Subversive Activities – those activities which tend to attempt to destabilize legally constituted authority. • Gross Neglect – consistent, deliberate non-compliance with work instructions or job steps. • Premises – this refers to the Head Office (19th and 18th Flr); Maxicare Centers • Emergency – an unforeseen combination of circumstances or the resulting state that calls for immediate action; a threat to loss of life, property, or limb.

CUMULATION OF OFFENSES • All offenses except Attendance are considered cumulative until the employee’s separation from the company. • For Attendance (absences and tardiness), the cumulation period is one year. This means that subsequent excessive tardiness/absences must occur within one year after first occurrence in order to be considered as part of a pattern of behavior which we want to correct. After this period, all previous offenses of the same nature will not be considered.
