Telefónica nears deal on Telecom Italia stake

Telefónica is close to agreeing a deal to take a larger stake in Telecom Italia’s controlling shareholder pact to
resolve a long-running stand-off with its Italian partners in the southern European rival.
Telefónica has been negotiating with Italian shareholders to renew the shareholder pact for the Telco holding
company, which controls about 22 per cent of Telecom Italia, ahead of its expiry on Friday.
Telefónica wants to retain the broad shareholding structure, which allows the Spanish group a degree of
influence over its Italian rival and its Brazilian operation that is a direct competitor in Latin America.
Telco’s Italian shareholders – Mediobanca, Intesa Sanpaolo and Generali – have been keen to sell their stakes
but not at a substantial discount. That has long been a sticking point of the discussions, according to people
familiar with the talks. Telefónica holds close to half of Telco at present.

Telefónica SA and its Italian partners have reached a deal allowing the Spanish company to gradually take
control of Telco—an investment vehicle, which is the largest shareholder of Telecom Italia.
Under the terms of the deal, announced Tuesday, Telefónica will boost the capital of Telco and take an
option to buy the rest of it from next year. The deal comes after two weeks of negotiations and on the eve
of the expiration of a prior accord between the partners.
Telefónica will immediately pay €324 million ($438 million) in cash to buy new nonvoting shares of Telco,
lifting its ownership stake to 66% from 46%, according to statements from Assicurazioni Generali SpA,
Intesa Sanpaolo and Mediobanca, all of which will remain junior Telco shareholders.

Air France-KLM Discusses Whether to Increase Its Stake in Alitalia

Alitalia SpA is grappling with steep losses, shrinking demand and the possible insolvency of
some investors. Now its biggest foreign shareholder, Air France-KLM, is deciding whether
to ante up or bail out.
Air France-KLM executives have long said that they wanted to decide by year-end whether
to increase the carrier's 25% stake in Alitalia. (..)
Air France-KLM wants to keep a foothold in the large Italian market but faces financial
constraints of its own after posting two years of losses.
Alitalia's new chief executive, Gabriele Del Torchio, aims to raise more than €300 million,
or roughly $400 million, under a plan to turn a profit by 2016 and is considering a capital
increase. If that happens, Air France-KLM would face the choice of taking a bigger stake,
holding its position or having its holding diluted by other investors.
Mr. Del Torchio's task will get complicated on Oct. 28, when Alitalia's corporate
shareholders will be free to sell shares purchased when Alitalia emerged from bankruptcy
reorganization in 2008. At least one investor is facing possible bankruptcy because of
Italy's economic crisis and others are stretched too thinly to invest more.

As Coat Maker Branches Out, CEO Prefers Listing Over a Sale to a Conglomerate

"A listing has always been my first choice," said Remo Ruffini, the company's CEO and second-
largest shareholder. (..) He has hired banks and is ready to seek approval from the Italian
stock-market regulator in a listing that could value the group at as much as €3 billion, or
about $4.1 billion, according to a person close to the deal. (..)
The potential move by Moncler shows how small Italian luxury companies are tapping into a
strong demand for fashion public listings as a way to escape the clutches of a luxury
conglomerate. In the past several years, companies such as Brunello Cucinelli SpA and
Salvatore Ferragamo have opted for an IPO. (..)
Other small companies have been snapped up by luxury's biggest groups. (..) France's LVMH
has been shopping in Italy for years. It snapped up Italian cashmere and wool brand Loro
Piana in July and bought jeweler Bulgari SpA in 2011. LVMH's main rival Kering has also
recently purchased Italian companies such as Brioni and jewelry brand Pomellato.

European Central Bank President Mario Draghi opened the door
to expanding the ECB's lending lifeline to banks, suggesting officials
are willing to consider additional stimulus measures to keep short-term
market interest rates in check and safeguard the bloc's fragile recovery.
"We are ready to use any instrument, including another LTRO [long-term refinancing operation] if needed,
to maintain the short-term money markets on the level that is warranted by our assessment of inflation in
the medium term," Mr. Draghi said Monday in testimony to European Parliament.
ECB officials have warned of the risks of higher money market rates in Europe, which increase bank
funding costs.

taken private, in a last-ditch move to ensure the survival of one of the pioneers of the global smartphone
industry.
BlackBerry – whose handheld devices became so widely and compulsively used by the world’s business and
political elite they were nicknamed “CrackBerrys” – has seen its market value plummet from a peak of $83bn
in 2008 to just $4.2bn ahead of the announcement Monday. (..)
BlackBerry burnt about $500m in cash in the latest quarter but still has about $2.5bn in cash on its balance
sheet – funds that could be used to buy back the inventory of unsold handsets in the market and fund some of
the 4,500 redundancies planned.

Microsoft in €5.4bn deal with Nokia

Microsoft is to buy Nokia’s mobile phone business and license its patents for €5.4bn, in an all-cash deal that
will reshape the telecoms industry on two continents.
In a big bet by Steve Ballmer, Microsoft’s outgoing chief executive, that Nokia’s mobile devices can rival those
of Apple and Samsung Electronics, the US software group has agreed to pay €3.79bn for the Finnish company’s
phone unit and €1.65bn to license its patents.
The deal will transform Nokia into a telecoms equipment company from a handset maker and is the latest
dramatic change in the company’s 148-year history. It also marks the end of a 30-year rollercoaster ride in the
phone market for Nokia that saw it become the world’s biggest manufacturer of mobile handsets but also
come close to financial ruin several times because of them.

US manufacturers ‘reshoring’ from China

American companies are increasingly “reshoring” manufacturing operations from China to the US, according to
a survey of executives.
The shift reflects China’s ebbing competitive advantage as a low-cost manufacturing centre after years of
rapid wage inflation and points to rising employment in US manufacturing, even though official data have
shown little growth over the past year.
Recent examples of companies announcing plans to shift production from China to the US include K’Nex, the
toy manufacturer, Trellis Earth Products, which makes bioplastic goods such as bags and utensils, and Handful,
the bra manufacturer. (..)
Labour costs were the factor most commonly cited by executives as determining location decisions, and
China’s advantage has been slipping. Wage inflation has been running at about 15-20 per cent per year.
Average hourly earnings in US manufacturing have risen just 1.6 per cent per year since 2011.

novero di quelli a maggior sviluppo
e uscire dalla logica di mero
contenimento del debito che sta
erodendo la nostra economia e che
non potrà - se prolungata - non
avere impatti anche sul fronte
sociale.
•Ristrutturare il Paese è innanzitutto ristrutturare la PA: per ridurne i costi ma ancor più
per trasformarla da freno all’economia a strumento di promozione dello sviluppo,
approfittando delle potenzialità offerte dalla tecnologia per ripensarne integralmente
l’organizzazione.

•Ristrutturare il Paese è spingere le imprese che non
lo stanno già facendo - soprattutto quelle meno
esposte alla competizione mondiale ma non per questo
meno rilevanti per il buon funzionamento della nostra
economia - ad adottare in modo convinto i nuovi
strumenti di gestione che la tecnologia mette a
disposizione e a incorporare il “nuovo” nei beni e nei
servizi che esse producono: per evitare che nei
prossimi anni molte di esse muoiano, perché incapaci
di comunicare e di interagire con il resto del sistema
(un problema analogo a quello di chi un secolo fa
continuava a usare la carrozza in un’era in cui si
diffondevano le automobili e si moltiplicavano le
strade asfaltate).
•Ristrutturare il Paese è stimolare la nascita di nuove
imprese: non solo start-up tecnologiche, che
rappresentano una componente importante; ma
imprese che, in quasi tutti i settori (e in primo luogo
nei servizi), colgano le grandissime opportunità offerte
dall’ICT di ripensare l’output e i business model
tradizionali.

•Ristrutturare il Paese è creare le condizioni per la
messa a punto di un assetto delle infrastrutture
di comunicazione in linea con quello delle
economie più avanzate.
•Un obiettivo non facile, perché sono le imprese
che devono effettuare i più grossi investimenti e
possono essere scoraggiate a farli dall’inasprirsi
della concorrenza e dalle difficoltà finanziarie;
perché molteplici sono i decisori pubblici in
materia (governo, parlamento e authority), non
sempre allineati fra loro; perché carenti sono le
risorse pubbliche per superare il cosiddetto digital
divide, la penalizzazione cioè a macchia di
leopardo di diverse aree del Paese, con il rischio in
prospettiva di una loro desertificazione al crescere
della centralità della Rete.

Non sono solo i soldi che mancano, e comunque
essi non rappresentano (almeno per il momento) il
problema più grave.
Gli ostacoli maggiori vengono a nostro avviso:
dall’inerzia, in buona parte legata alla
scarsa sensibilità dell’opinione pubblica nei
riguardi di queste tematiche, quasi
ignorate ad esempio in occasione delle
ultime elezioni
dalla resistenza al cambiamento di chi -
in un sistema più ordinato e trasparente -
teme (soprattutto nell’ambito della PA) di
perdere il potere che gli deriva
dall’enorme discrezionalità o teme
(nell’ambito delle imprese e/o delle
persone) di non avere più facili vie di fuga
dal fisco e dagli obblighi previdenziali.
RISTRUTTURARE IL PAESERISTRUTTURARE IL PAESE

Altri ostacoli, per il momento sottotraccia, potrebbero nascere da forme di neo-luddismo.
Una ristrutturazione applicata seriamente avrebbe probabilmente nella fase iniziale, prima
del manifestarsi dei vantaggi, conseguenze occupazionali negative:
RISTRUTTURARE IL PAESERISTRUTTURARE IL PAESE
•metterebbe in luce l’inconsistenza di molte posizioni di lavoro, in particolare nella PA,
con problemi non facili (e spesso insolubili) di ricollocazione delle persone;
•permetterebbe di accrescere sensibilmente i livelli di attività senza aumentare il numero
di dipendenti o addirittura (come accaduto nell’importante esperienza dell’INPS) senza
sostituire quelli in uscita per limiti di età, nell’ambito pubblico e in quello privato;

Altri ostacoli, per il momento sottotraccia, potrebbero nascere da forme di neo-luddismo.
Una ristrutturazione applicata seriamente avrebbe probabilmente nella fase iniziale, prima
del manifestarsi dei vantaggi, conseguenze occupazionali negative:

•potrebbe accentuare, anche in assenza di licenziamenti, il fenomeno di sottoccupazione
già presente in diverse realtà: un fenomeno visibile a occhio nudo nelle banche, piene di filiali
semivuote per le trasformazioni nei comportamenti indotte dalla diffusione dell’internet
banking.
•potrebbe, favorendo una maggiore equità fiscale e previdenziale (obiettivo di grande
rilevanza sociale ed economica), mettere fuori mercato - come in parte già accaduto in questi
anni - una serie di imprese marginali che sopravvivevano solamente grazie al risparmio
sugli oneri fiscali e previdenziali.

Dopo le grandi paure allo scatenarsi della crisi e le grandi speranze del periodo
successivo, l’incertezza appare essere divenuta il tratto dominante
nell’economia e nella politica, a livello interno e a livello internazionale.
L’incertezza, che ha la manifestazione forse più evidente nella forte volatilità
dei mercati finanziari, è in larga misura figlia degli squilibri formatisi nel
tempo, tamponati ricorrendo alla finanza - con un enorme aumento
dell’indebitamento degli stati e dei privati - invece che corretti agendo sulle
cause reali.
I paesi ricchi - tra cui l’Italia - non hanno voluto ad esempio prendere atto
dell’esigenza di rivedere stili di vita e modelli di welfare a fronte dell’entrata
in scena di paesi quali la Cina o l’India: con un comportamento simile a quello
dei vecchi nobili di fine ‘800, al crescere della borghesia. E permane lo
squilibrio strutturale negli scambi commerciali, fra paesi esportatori netti
come la Germania e la Cina e paesi importatori netti come l’Italia, che - in
assenza di correttivi reali - genera continuamente nuovi squilibri finanziari.

Nel 2000 la bolla “Internet”. Nel 2007-2008 la bolla “subprime”, seguita
dalla crisi dei debiti sovrani, tuttora in corso. È immaginabile un mondo
senza bolle?
È la finanza che di solito viene incriminata per le bolle che fa scoppiare e
per gli scombussolamenti che genera, concentrando grandi masse di risorse
finanziarie su obiettivi ben definiti.
È la riforma del sistema finanziario uno dei grandi temi politici, a livello
mondiale e a livello dei singoli paesi.
La finanza però è difficilissima da colpire
•per la sua natura globale in un mondo privo di un governo globale (quasi un
unicum nella storia);
•perché ogni potenziale misura contro di essa ha un impatto differenziato
nei diversi paesi (ciò che forse va bene per l’Europa continentale è un male
per Londra) e si scontra quasi sempre con i potenziali danneggiati.

Ma, fatto ancora più importante da ricordare, le enormi risorse che la
finanza gestisce sono la conseguenza - come visto - di una serie di squilibri
nel mondo: squilibri in larga misura di origine non finanziaria, ma che la
finanza può amplificare sino a livelli intollerabili.
Ci sono troppi soldi in giro (di qualsivoglia provenienza e natura) a caccia
di rendimenti, difficili però da intercettare - come le nostre difficoltà
evidenziano - per usi produttivi.
Si preferisce il mercato delle scommesse, in cui tutti continuano a vincere
sino allo scoppio delle bolle, rispetto al finanziamento ordinario alle
imprese (attraverso azioni, obbligazioni e prestiti bancari).

I troppi soldi ci sono perché qualcuno li stampa, per finanziare il debito
pubblico e/o per attivare la crescita (come di recente gli Stati Uniti e il
Giappone).
Perché si forma il debito? Molto spesso non per investire in nuovi
settori/tecnologie/infrastrutture, ma per permettere un livello di vita in
linea con quello del passato (CIG in deroga, prepensionamenti,
ricapitalizzazione delle banche, etc.) e/o per acquisire gratitudine
elettorale: con una ricaduta solo indiretta, attraverso la crescita della
domanda.
