3. Importance of Contracts
• Contracts being the backbone of any business and
corporate environment, everything hinges on drafting a
strong contract to be complied with by the parties.
• A contract helps people manage their relationships in
a formal and legal way to avoid unnecessary conflicts
and loss of business.
• It is therefore mandatory, that the contract is drafted
appropriately and the time so spent makes good
business sense.
• Easy and simple language, clear and crisp clauses,
unambiguous provisions, lucid and logical chronology
makes for a viable contract.
4. Necessity of A Contract Management
Any corporate house enters into not less than a million
contracts in any given year.
Most of the corporate houses deal in more than one
jurisdiction.
In the light of the above certain challenges faced by
today’s corporate world:
Maintaining uniformity in the contracts;
Immense workload faced by the internal legal people in
managing these contracts;
Visibility of all the contracts as poor contract visibility
creates lack of tactical and strategic intelligence;
Preparing one single platform or database from which
all people can derive as and when required;
Managing obligations arising out of all the contracts and
keep them up to date.

Drafting and Vetting:
A simple process of writing down a legally viable and
enforceable - commercial or personal - understating
between two or more entities is drafting a contract.
The essence of drafting a contract is to ensure that
everyone involved has a clear understanding of their
rights and obligations regarding the commercial
understanding or the promise made.
The process of examination and evaluation of the
provisions of a legal document for clarity, accuracy and
understanding is Vetting.
6
7. Quality & Security
Review Abstraction and Summarization
This process is undertaken for various reasons by the
corporate houses, some of which are:
Sort legal documents in various categories
Locate any particular legal document with ease
Keep a track of the details of executed legal
document such as names and addresses
Keep a track of termination and renewal dates of
various legal documents
Keep a track of payment terms and milestones
7
8. Obligation Management
The main aim of obligation management is to keep a
track of legal rights and obligations;
Key contract milestone data is held in a spreadsheet or
any such technological platform in an attempt to provide
more structure and control over the tracking of contract
terms and conditions.
It includes all major types of contracts such as Master
Service Agreements, delivery schedules as well as
service targets and may be linked to damages and
penalties for shortfall in performance, incentive structures
for achieving targets.
8
9. Risk Analysis
Risk Analysis is a technique to identify and assess
factors that may jeopardize the success of a contract.
This technique also helps to define preventive
measures to reduce the probability of these factors from
occurring and identify countermeasures to successfully
deal with these constraints when they develop to avert
possible negative effects on the competitiveness of any
contract
A risk analysis chart typically includes identification the
risk owner, time factors for performing the obligations,
fulfilment of requisite conditions by the non-risk owner
and other mitigating factors such as jurisdictional
constraints.
10. Contract Creation and Comparison
Contract Creation:
Process by which a new contract is created based on a
standard template.
By filling certain information in particular fields of the
standard template a new contract is created.
Contract Comparison:
Contract Comparison can be utilized when
renegotiating and renewing certain contracts and
support agreements.
It identifies additional rights, increased obligations and
reduced protections based on comparative analysis of
executed versions and currently negotiated drafts.
10
11. Red-Lining
Red-lining: The process of red-lining is undertaken for
various reasons which benefit in effective contract
management for corporate houses, some of which can be
mentioned as below:
Improving the language and content of the document;
◦ Mapping any changes, modifications or amendments
made in the document.
◦ Highlighting any proposed insertions or deletions in a
document;
◦ Mapping the reasoning for any changes, modifications
or amendments made or proposed to be made in a
document
◦ Identifying obscurity and ambiguity in a contract and
pointing out any obligations that arise as a result of
these loopholes.
12. Creation of database of Contracts:
Creation of database of Contracts:
All the usefulness attributed to contract summarization,
abstraction and review is applicable to the creation of a
contracts database.
◦ This process involves the only extra step of compiling all
the reviewed and summarized contracts into a single
electronic platform such as Microsoft Excel.
◦ It enhances the visibility and search ability of a contract
and improves the time management.
[This is what NASA has to say about contract obligation
management: Unrecorded or inaccurate obligation record
keeping can distort the accuracy of available appropriation
balances. Failure to record obligations and adjustments in a
timely manner increases the risk of over obligation and the risk
that program officials will not have accurate information to use in
decision making.]
